WALMART. Walmart shall indemnify, defend and hold Plug Power, and its successors, assigns, officers, directors, employees, agents and representatives harmless from and against any and all third-party Claims, that arise from Walmart’s engagement of a Third-Party Service Provider pursuant to the terms of the applicable Vendor Agreement, except to the extent attributable to Plug Power’s Material Breach.
