Common use of Waiver and Amendment Clause in Contracts

Waiver and Amendment. No provision of this Agreement may be modified, amended, waived or discharged unless such waiver, modification, amendment or discharge is agreed to in writing and signed by the Executive and such officer or director as may be designated by the Board. No waiver by either Party at any time of any breach by the other Party hereto of, or compliance with, any condition or provision of this Agreement to be performed by such other Party shall be deemed a waiver or similar or dissimilar provisions or conditions at the same or at any prior or subsequent time.

Waiver and Amendment. No provision of this Agreement may shall be modified, amended, waived or discharged unless such waiver, the modification, amendment amendment, waiver or discharge is agreed to in writing and signed by the Executive Employee and such by an authorized officer or director as may be designated by of the BoardCompany (other than the Employee). No waiver by either Party at any time party of any breach by the other Party hereto of, or of compliance with, any condition or provision of this Agreement to be performed by such the other Party party shall be deemed considered a waiver of any other condition or similar provision or dissimilar provisions or conditions at of the same condition or provision at any prior or subsequent another time.
