Voting Units. Subject to the other provisions of this Agreement, each voting Unit in a Series shall have the rights, and be subject to the obligations, identical to those of each other voting Unit of the same Member Class in the Series. The holders of voting Units shall be entitled to one vote for each voting Unit held at all meetings of voting Series Members (and written actions in lieu of meetings), with no right to cumulative voting. Voting Units. (a) Subject to the other provisions of this Agreement (including those governing the Membersrespective rights to receive allocations of Net Profits and Net Losses and to buy or sell Units), each Voting Unit regarding a Series shall have the rights, and be subject to the obligations, identical to those ofeach other Voting Unit.
Voting Units. As used herein, the term “Voting Units” shall mean any Units of any class or series that are designated by the Company as Voting Units, which at as of the date of this Agreement refers 2,629 issued and outstanding Class A Common Units designated as “Voting Units” under this Agreement.

Voting Units. The Exchange shall issue equal units of limited liability company interest in the Exchange collectively comprising all voting interests of Members with respect to Exchange matters (each, a “Voting Unit”). Except as otherwise provided in this Agreement, the Exchange will not subdivide or combine any Voting Units, or make or pay any distribution on any Voting Unit, or accord any other payment, benefit or preference with respect to any Voting Unit, except by extending such subdivision, combination, distribution, payment, benefit or preference equally to all Voting Units. Voting Units have no par value. To the extent that any fractional Voting Unit would otherwise be outstanding, the number of Voting Units held by any Member shall be rounded to the nearest whole number, as determined by the Board.
