Voluntary Termination by COMPANY. Company may terminate this Agreement for any reason upon ninety (90) days’ prior written notice to University; provided, however, Company may not terminate this Agreement during the Royalty Term under this Section 8.2 unless Company has ceased marketing Licensed Products.
