Very Substantial Acquisition for EOG. As the applicable percentage ratio(s) (as defined under the Listing Rules) in respect of the Subscription exceed 100%, the transactions contemplated under the Subscription constitute a very substantial acquisition for EOG under Chapter 14 of the Listing Rules, and are therefore subject to the notification, announcement, circular and shareholders’ approval requirements under the Listing Rules. The EOG SGM will be held to consider and, if thought fit, pass the relevant resolutions to approve, among other things, the Subscription.
