Vernalis and the Purchaser hereby jointly and severally indemnify the Vendor and each of the members of its Group (together with their respective directors, officers and employees) (each being a "CHIESI PERSON") against any loss, damage, liability, fine, penalty, charge and any other cost and expense (including costs of recovery on an indemnity basis) arising directly or indirectly as a result of any claim brought by any US Person against any Chiesi Person in respect of the issue by Vernalis or the Bank (or any agents of either of them) in the US or to a US Person of the Prospectus, the US Private Placement Memorandum or any document supplemental to either of them, or the marketing by Vernalis or the Bank (or any agents of either of them) in the US or to a US Person of the Chiesi Vendor Placing Shares, provided that such third party claim is made and notified to the Purchaser prior to the first anniversary of the Time of Closing.
Vernalis. Specialty Sales Personnel shall perform Product Details in accordance with a health care compliance guide to be implemented by Vernalis which guide shall be consistent with the principles contained in Endo's Health Care Compliance Guide effective as of June 1, 2005 as it is applied to Endo's sales representatives. The Vernalis health care compliance guide shall be submitted for approval to the Co-Promotion Team before its implementation and shall be updated consistent with any revisions made from time to time to Endo's Health Care Compliance Guide provided that Endo shall provide revisions to Vernalis within *** days of approval by Endo management, and in any event, no later than the time that Endo provides such revised policies to its own sales representatives.

  • Sublicensees Licensee shall have the full right (but not the obligation) to sublicense those rights granted to it under Section 2.1 to a Third Party (a “Sublicensee”); provided, however, that, prior to the payment of the first milestone pursuant to Section 7.2, Licensee may not grant any such sublicense to any contract research organization conducting Clinical Trials of Products or any Third Parties conducting contract Manufacturing activities without Licensee’s prior written notice (at least twenty (20) Business Days in advance) to Lilly, which shall include a description of the rights to be granted and the purpose therefor, the identity of the Third Party and the countries involved, and Lilly’s prior written consent, but such consent shall only be required (i) until such time as Licensee is the holder of record for the Regulatory Materials related to Taladegib and (ii) to the extent such organization is not performing services for Licensee as of the Effective Date; and provided further, that Licensee shall remain responsible for the performance by any of its Sublicensees. With respect to any Sublicensee granted a sublicense to any Commercialization rights hereunder, Licensee shall ensure that each of its Sublicensees accepts in writing all applicable terms and conditions of this Agreement, including the non-compete, reporting, audit, inspection and confidentiality provisions hereunder. Each Sublicensee shall also be prohibited from further sublicensing.   • Licensed Patents Licensee shall be responsible for all further patent prosecution with respect to the Licensed Patents and Licensed Technologies set out in Exhibit “A”. Licensee may select the patent agent for the prosecution of the Licensed Patents, subject to the approval of Licensor as the patent owner, which approval will not be unreasonably withheld. Licensee shall provide Licensor with copies of all relevant documentation related to the filing and prosecution of the Licensed Patents so that Licensor may be informed and apprised of and meaningfully consulted as to the continuing prosecution. Licensor shall keep all such documentation confidential. In addition to Licensee’s obligations pursuant to section 4.1 above, Licensee shall be solely responsible for all patent and legal costs relating to the Licensed Patents and Licensed Technology (excluding Refused Licensed Patents) from the Effective Date onward, including all costs relating to the transfer of the Licensed Patents to the new patent agents selected by Licensee and approved by Licensor. For any patent and legal costs relating to the Licensed Patents and Licensed Technology (excluding Refused Licensed Patents) paid by Licensor after the Effective Date (including, without limitation, those expenses related to patentability assessments and drafting, filing, prosecution, maintenance, and taxes (the “Patent Costs”)), Licensee shall promptly reimburse Licensor for such Patent Costs upon receipt of an invoice from Licensor for such expenses. For any work in progress with respect to the Licensed Patents for which the Patent Costs have not already been paid by Licensor to its patent firm prior to the transfer of the Licensed Patents to Licensee’s patent agent, Licensor will direct its patent firm to copy Licensee on all such invoices from said patent firm and Licensee will promptly pay said invoices directly to Licensor’s patent firm.
