Common use of Venture Clause in Contracts

Venture. Venture represents, warrants and covenants to Sublicensee, as of the Effective Date, that: (i) Venture is a licensee of the M▇▇▇ pursuant to the Master License; (ii) Subject to the provisions of this Agreement, Venture has the right to grant the Sublicense when approved as provided herein; (iii) to the best of Venture’s knowledge, no registered United States intellectual property right of any third parties will be infringed or otherwise violated by Sublicensee’s use of the M▇▇▇ in strict accordance with the terms of this Agreement; (iv) Venture has not granted to any third parties any rights that would preclude Venture from granting the right to use the M▇▇▇ within the Territory as provided herein; and (v) this Agreement has been duly executed and delivered by Venture.
