Venture Agreement. The Stockholders understand and acknowledge that General XXXX XX is entering into the Venture Agreement in reliance upon the Stockholders' execution and delivery of this Agreement.

Venture Agreement. “Venture Agreement” shall mean that certain Venture Agreement, dated as of August 1, 1988, by and among Penske, GE Tennessee, Gelco Corporation and the Partnership, as amended as of July 1, 1993, and as the same may be amended and in effect from time to time.
Venture Agreement. The execution and delivery by Investor and SALII of a mutually acceptable Venture Agreement to govern the operation of the Joint Venture, the latest draft of which is attached hereto as Exhibit R.

Venture Agreement. The "Venture Agreement" shall mean that certain joint venture agreement dated January 12, 1990 between Kumagai Caribbean, Inc. and WKA El Con Associates pursuant to which the Partnership was formed.
Venture Agreement. The Parties acknowledge that the form of the Venture Agreement attached hereto as Exhibit C has been negotiated by the Parties in good faith and is in substantially final form. Except for such additional modifications or revisions as shall be mutually agreed to by the Parties in good faith, in connection with the Closing, the Parties shall enter into the Venture Agreement for the formation and operation of the Venture.
Venture Agreement. The Stockholders understand and acknowledge that the CIG Parties are entering into the Venture Agreement in reliance upon the Stockholders' execution and delivery of this Agreement.
Venture Agreement. The Operating Agreement of the Venture, attached hereto as Exhibit D, shall be true and correct as of the Closing and shall not have been modified or amended since the date hereof.
Venture Agreement. The term "Venture Agreement" shall mean the Limited Liability Company Agreement of ALUS dated as of December 23, 2002.
