Vendor and Supplier Warranties. The Contractor shall, for the protection of the General Contractor, obtain from all Subcontractors guarantees and warranties with respect to machinery, equipment, materials and other items used and installed hereunder, which guarantees and warranties shall not be amended, modified or otherwise discharged without the prior written consent of the General Contractor. Such guarantees and warranties shall be in accordance with reasonable commercial Greenhouse industry standards, shall be assignable to the General Contractor, shall cover a period of not less than one year from the earlier of Final Completion or the commencement of Commercial Operation, and shall be made available to the General Contractor to the full extent of the terms thereof after assignment. The Contractor shall enforce such guarantees and warranties to the fullest extent thereof on behalf of the General Contractor until such time as they are assigned to the General Contractor. Upon the earlier to occur of (i) issuance of the Certificate of Final Completion, or (ii) termination of this Agreement pursuant to Article 15, the Contractor shall assign to the General Contractor all the Contractor's rights under Subcontractor guarantees and warranties and shall deliver to the General Contractor copies of all contracts providing for such guarantees and warranties.

However, unless this term of the Agreement is negotiated and modified to state otherwise, those specific Sale Terms are not accepted by TIPS on behalf of all TIPS Members and each Member may choose whether to accept, negotiate, or reject those specific Sale Terms, which must be reflected in a separate agreement between Vendor and the Member in order to be effective.
