Variations and Adjustments. 13.1 Right to Vary Variations may, in respect of a Section or Part, be initiated by the Engineer at any time prior to issuing the Taking-Over Certificate in respect of such Section or Part, either by an instruction or by a request for the Contractor to submit a proposal. Where the Contractor can show that an instruction of the Engineer given in accordance with the Contract has resulted in, or that the occurrence of an event beyond the control of Contractor has necessitated, a material change to the Specification, the Employer shall be obliged to instruct a Variation in respect of that change. If the Engineer requests the Contractor to submit a proposal and subsequently elects not to proceed with the change, the Contractor shall be reimbursed for the Cost incurred. The Contractor shall execute and be bound by each Variation, unless the Contractor promptly gives notice to the Engineer stating (with supporting particulars) that (i) the Contractor cannot readily obtain the Goods required for the Variation, or (ii) such Variation triggers a substantial change in the sequence or progress of the Works. Upon receiving this notice, the Engineer shall cancel, confirm or vary the instruction. Each Variation may include: changes to the quantities of any item of work included in the Contract (however, such changes do not necessarily constitute a Variation), changes to the quality and other characteristics of any item of work, changes to the levels, positions and/or dimensions of any part of the Works, omission of any work unless it is to be carried out by others, any additional work, Plant, Materials or services necessary for the Permanent Works, including any associated Tests on Completion, boreholes and other testing and exploratory work, or changes to the sequence or timing of the execution of the Works. The Contractor shall not make any alteration and/or modification of the Permanent Works, unless and until the Engineer instructs or approves a Variation.
Variations and Adjustments. 13.1 W i t h o u t p r e j u d i c e t o c l a u s e 2 . 2 , any variations and adjustments to the Project or the Project Works required by the Recipient or the Service Provider that incur additional costs shall be the exclusive responsibility of the Recipient and the Recipient shall pay the Service Provider any such additional costs. For the avoidance of doubt the Recipient acknowledges and agrees that no further Grant funding will be made available by the Funder for any variations and adjustments to the Project or the Project Works required by the Recipient or the Service Provider.
Variations and Adjustments. 13.8 Adjustment for changes in Cost Period ‘n’ shall be considered as 3 months. The adjustment multiplier to be applied to the estimated contract value in the relevant currency of the work carried out based on Increase or decrease in the cost indices of Labour, Equipment and materials shall be calculated quarterly. For the purpose of reckoning the work done during any period, the bills prepared during the period shall be considered. The dates of recording measurements in the Measurement Book by the Engineer’s Representative shall be the guiding factor to decide the bills relevant to any period. The date of completion, as finally recorded by the Engineer’s Representative in the Measurement Book, shall be the criterion.

For purposes of the foregoing, conversion of any convertible securities of the Company shall not be treated as “effected without receipt of consideration by the Company.” Any fractional share resulting from an adjustment pursuant to this Section shall be rounded down to the nearest whole number and the Exercise Price shall be rounded up to the nearest whole cent. In no event may the Exercise Price be decreased to an amount less than the par value, if any, of the stock subject to the Option. Such adjustments shall be determined by the Committee, and its determination shall be final, binding and conclusive.

  • Cost Adjustments Both parties agree that contracted prices shall be fixed for the first 12 months of this Contract. Contractor must submit to District any proposed cost adjustments at least 60 days before the proposed effective date of such increases with a detailed explanation for each adjustment. District alone reserves the right to reject any changes to this Contract it deems unacceptable.
