VALUE ADDED RESELLER. This Agreement is based on the Reseller’s representation of itself as a “value added reseller” (VAR). Reseller has significant additional hardware, software or integration services that will be offered along with the MobileDemand Products to the end-user consumer. Reseller agrees that the MobileDemand Products ordered will be used by Reseller as an integral part of its system or systems for demonstration purposes or for resale, lease, and sublicense to end-user customers. Reseller shall not remove, de-face, cover up or alter in any fashion or manner any MobileDemand Product markings, or trademark, copyright or patent notices on the Product or in any advertising or marketing of the Product. Reseller agrees to purchase such Products only directly from MobileDemand or its authorized Distributors, if any.
VALUE ADDED RESELLER. Quicktest acknowledges that it is a Value Added Reseller (VAR), and that it shall sell Products utilizing the Patent for incorporation into systems which Quicktest: (a) re-markets to unaffiliated third party users in the regular course of business, and/or (b) for uses in providing services to such third parties.

  • Direct Sales The Manager will advise you promptly, on the Offering Date, as to the Securities purchased by you pursuant to the Underwriting Agreement that you will retain for direct sale. At any time prior to the termination of the applicable AAU, any such Securities that are held by the Manager for sale but not sold may, on your request and at the Manager’s discretion, be released to you for direct sale, and Securities so released to you will no longer be deemed held for sale by the Manager.   • Custom Products Effective upon creation of Custom Products, Contractor hereby conveys, assigns and transfers to Authorized User the sole and exclusive rights, title and interest in Custom Product(s), whether preliminary, final or otherwise, including all trademark and copyrights. Contractor hereby agrees to take all necessary and appropriate steps to ensure that the Custom Products are protected against unauthorized copying, reproduction and marketing by or through Contractor, its agents, employees, or Subcontractors. Nothing herein shall preclude the Contractor from otherwise using the related or underlying general knowledge, skills, ideas, concepts, techniques and experience developed under a Purchase Order, project definition or work order in the course of Contractor’s business. Authorized User may, by providing written notice thereof to the Contractor, elect in the alternative to take a non-exclusive perpetual license to Custom Products in lieu of Authorized User taking exclusive ownership and title to such Products. In such case, Licensee on behalf of all Authorized Users shall be granted a non-exclusive perpetual license to use, execute, reproduce, display, perform, adapt and distribute Custom Product as necessary to fully effect the general business purpose(s) as stated in paragraph (b)(i)(2), above.

  • Products and Services General Information The Vendor Agreement (“Agreement”) made and entered into by and between The Interlocal Purchasing System (hereinafter “TIPS”) a government cooperative purchasing program authorized by the Region 8 Education Service Center, having its principal place of business at 0000 XX Xxx 000 Xxxxx, Xxxxxxxxx, Xxxxx 00000 and the TIPS Vendor.
