The Customer may not reproduce or copy the Software, in whole or in part.\n(i) access all or any part of the Software in order to build a product or service which circumvent or attempt to circumvent any technical measures or restrictions controlling access to or use of the Software, or gain or attempt to gain any greater level of access to the Software than is permitted by this Agreement\n(j) interfere with or disrupt the integrity or performance of the Software or the data contained in it;\n(k) attempt to gain unauthorised access to the Software or its related systems or networks;\n(l) perform or disclose any benchmarking, availability, or performance testing of the Services; and\n(m) use any device, software, or routine or attempt to interfere with the proper functioning of the Software\n2.5 The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Software and, in the event of any such unauthorised access or use, promptly notify Ramboll.\n2.6 The Customer agrees that it shall not use or permit to be used the Software for any time critical or mission critical or legal functions usage. No warranty is provided as to the accuracy of the information generated by the Software. The Customer shall not remove alter or obscure proprietary or trademark notices on any screens, data or reports generated by the Software.\n2.7 The rights provided under this clause 2 are granted to The Buyer shall ensure that Authorised Users are, at all times while they have access to the Services, the employees or contractors of the Buyer.\n2.5 The Buyer shall ensure that the number of Authorised Users for the Services does not exceed the number of Purchased Authorised Users Accounts for the relevant Service at any time. The Buyer is entitled to remove one individual as an Authorised User and replace that person with another individual in accordance with the terms of this Agreement, but Authorised User accounts cannot be shared or used by more than one individual at the same time.\n2.6 Without prejudice to any other right or remedy of the Supplier, in the event the Buyer is in breach of Clause 2.6 then:\n(a) the warranties in Clause 6.1 shall cease to apply for the duration of the period during which the Buyer is in breach of Clause 2.6; and\n(b) the Buyer shall be liable to pay for the number of Authorised Users above the number of Purchased Authorised Users Accounts for that Service for the relevant period during which infringement occurred in accordance with the subscription model set out in Schedule 2, clause 1.3.\n2.7 The Buyer shall:\n(a) be liable for the acts and omissions of the Authorised Users as if they were its own;\n(b) only provide Authorised Users with access to the Services via the access method provided or specified by Concerto and shall not provide access to (or permit access by) anyone other than an Authorised User; and\n(c) procure that each Authorised User is aware of, and complies with, the obligations and restrictions imposed on the Buyer under this Agreement, including all obligations and restrictions relating to Concerto\u2019s Confidential Information.\n2.8 The Buyer warrants and represents that it and all Authorised Users and all others acting on its or their behalf (including systems administrators) shall keep confidential and not share with any third party (or with other individuals except those with administration rights at the Buyer organisation as necessary for use of the Service) their password or access details for the Service.\n2.9 The Buyer shall (and shall ensure all that Authorised Users shall) at all times comply with the provisions of this Agreement.\n2.10 If any password has been provided to an individual that is not an Authorised User, the Buyer shall, without delay, disable any such passwords and notify Concerto immediately.\n2.11 The Buyer shall comply (and shall ensure all Authorised Affiliates comply) with all applicable laws, rules, and regulations governing export that apply to the Services, the Buyer Data and the Documentation (or any part), and shall not export or re- export, directly or indirectly, separately or exclusion by agreement between the parties:\n3.4.1.1 and except to the extent expressly permitted under this Agreement, attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Services and/or Documentation (as applicable) in any form or media or by any means; or\n3.4.1.2 attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Services; or\n3.4.2 access all or any part of the Services and Documentation in order to build a product or service which competes with the Services and/or the Documentation; or\n3.4.3 use the Services and/or Documentation to provide services to third parties; or\n3.4.4 subject to clause 16, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or Documentation available to any third party except with the written authorisation of Cardinus, or\n3.4.5 attempt to obtain, or assist third parties in obtaining, access to the Services and/or Documentation, other than as provided under this Agreement.\n3.5 The Client shall use all reasonable endeavours to prevent any unauthorised access to, or Use of, the Services and/or the Documentation and, in the event of any such unauthorised access or Use, promptly notify Cardinus.\n3.6 In order to access the Service, the Client must:\n3.6.1 obtain access to the World Wide Web and ensure they are using Browsers supported by Cardinus Software from time to time.. Such audit may be conducted no more than once per quarter, at the Supplier's expense, and this right shall be exercised with reasonable prior notice, in such a manner as not to substantially interfere with the Customer's normal conduct of business;\n19.2.6. if any of the audits referred to in this clause 18 reveal that any password has been provided to any individual who is not an Authorised User, then without prejudice to the Supplier's other rights, the Customer shall promptly disable such passwords and the Supplier shall not issue any new passwords to any such individual; and\n19.2.7. if any of the audits referred to in this clause 18 reveal that the Customer has underpaid Fees to the Supplier, the Customer shall pay to the Supplier an amount equal to such underpayment within 10 Business Days of the date of the relevant audit.\n19.3. The Customer shall not, nor allow others to, access, store, distribute or transmit any Viruses, or any material during the course of its use of the Services that is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; facilitates illegal activity; depicts sexually explicit images; promotes unlawful violence; is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability, or any other illegal activity; or causes damage or injury to any person or property.\n19.4. The Customer shall not, except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties, and except to the extent expressly permitted under this Agreement:\n19.5.1. attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software any documentation in any form or media or by any means; or\n19.5.2. attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software; or\n19.5.3. access all or any part of the Services in order to build a product or service which competes with the Services ; or\n19.5.4. use the Services to provide services to third parties; or\n19.5.5. license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services available to any third party except the Authorised Users, or\n19.5.6. attempt to obtain, or assist third parties in obtaining, access to the Services, other than as provided under this clause 19.\n19.6. The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Services and, in the event of any such unauthorised access or use, promptly notify the Supplier.\n19.7.
