Use by the Public. The LDCI understands, acknowledges and agrees that Town Park is publicly held land and, as such, is open for use by the public. The LDCI may not in any manner interfere with the public’s use of the Town Park nor may it prohibit the public’s use of the Town Park.

Use by the Public. The Owner understands, acknowledges and agrees that Premises is open for use by the public and shall remain open to the public for the term of this Agreement and the License granted hereunder. The Owner may not in any manner interfere with use of the Premises by the Town or by the public. If Owner needs to close the Premises for a period of more than eight (8) hours for public safety reasons or in order to perform its obligations as set forth herein, it shall first obtain the Town’s written approval, which approval the Town may grant or deny within its reasonable discretion.

  • Performance by the Purchaser The Purchaser shall have performed, satisfied and complied in all material respects with all covenants, agreements and conditions required by this Agreement to be performed, satisfied or complied with by the Purchaser at or prior to the Initial Closing and as of each Settlement Date.

  • TERMINATION BY THE PARTIES This Agreement may be terminated upon sixty (60) days’ written notice (a) by the Independent Directors of the Company or the Advisor, without Cause and without penalty, (b) by the Advisor for Good Reason, or (c) by the Advisor upon a Change of Control.
