Use and Operation of Locations Where Equipment is Located. All material agreements, easements and other rights, public or private, which are necessary to permit the lawful use and operation of Systems, including all related Equipment, as Lessee intends to use the same under the Lease and which are necessary to permit the lawful intended use and operation of all presently intended utilities, driveways, roads and other means of egress and ingress to and from the same have been obtained and are in full force and effect (or will be obtained and be in full force and effect on or prior to the completion of construction or installation thereof), and Lessee has no actual knowledge of any pending modification or cancellation of any of the same; and all approvals and consents material to the use and operation of the Systems, including all related Equipment, will, on or prior to the execution and delivery of a Certificate of Acceptance with respect thereto, have been issued and will be in full force and effect, or shall be obtained prior to the time they are required by Applicable Laws, and all utilities required for the operation thereof, as Participation Agreement Lessee intends to use such Systems and the related Equipment under the Lease, will be available as of such date.
