Common use of U.S. Licensee Clause in Contracts

U.S. Licensee. If the Licensee is located in the U.S., the parties agree to submit to the exclusive jurisdiction in the federal and state courts of New York, New York, for any action brought in connection with this Agreement, and the parties agree to waive any defense of inconvenient forum.
