uorum definition

uorum means any one Regular Trustee or, if there is only one Regular Trustee, such Regular Trustee.
uorum means any two Regular Trustees or, if there is only one or two Regular Trustees, one Regular Trustee. “Redemption Date” has the meaning set forth in Section 4(a) of Annex I.

Related to uorum

  • Quorum means a majority of the Regular Trustees or, if there are only two Regular Trustees, both of them.

  • Meeting means any meeting of:

  • Disinterested Quorum means a quorum of the Board who are not Parties to the subject Proceeding or any related Proceeding.

  • Disinterested Directors means, with respect to any Affiliate Transaction, one or more members of the Board of Directors of the Company, or one or more members of the Board of Directors of a Parent, having no material direct or indirect financial interest in or with respect to such Affiliate Transaction.   • Board Meeting means a meeting of the Board;

  • physical meeting means a general meeting held and conducted by physical attendance and participation by shareholders and/or proxies at the Principal Meeting Place and/or where applicable, one or more Meeting Locations;

  • Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Disinterested Director/Trustee means a Director/Trustee of the Fund who is not an "interested person" of the Fund within the meaning of Section 2(a)(19) of the Act.

  • Meeting of Members means an Annual Meeting of Members or a Special Meeting of Members.

  • Disinterested Board Members means those members of the Board of a Fund that are not deemed to be "interested persons" of the Fund, as defined by the Act.

  • General Meeting means the annual or any special general meeting of the Association.

  • Undervote means that the elector does not properly designate any choice for an office or ballot question, and the tabulator records no vote for the office or question.

  • Annual General Meeting means the meeting held by the Society in the first four months (or such other period as permitted by the Statutes) of each Financial Year at which the Annual Accounts are presented and which is specified as such in the notice convening the meeting;

  • entire Board of Directors means the total number of directors which the Corporation would have if there were no vacancies.

  • Convener ’ means a person who impar- tially assists an agency in determining wheth- er establishment of a negotiated rulemaking committee is feasible and appropriate in a par- ticular rulemaking;

  • Scratch vote means to mark or punch the straight party ticket and then mark or

  • Disinterested Director means a director of the Company who is not and was not a party to the Proceeding in respect of which indemnification is sought by Indemnitee.

  • adjourned meeting means the meeting to which a meeting is adjourned under Article 8.6 or 8.9;

  • Governance Committee means the Governance Committee of the Board.

  • Votes means the number of votes entitled to be cast generally in the election of Directors.

  • Attend in respect of a line, means to be within 10 metres of the line.

  • vote of a majority of the outstanding voting securities" shall mean the vote, at a meeting of Holders, of the lesser of (a) 67 per centum or more of the Interests in the Trust present or represented by proxy at the meeting if the Holders of more than 50 per centum of the outstanding Interests in the Trust are present or represented by proxy at the meeting, or (b) more than 50 per centum of the outstanding Interests in the Trust. The terms "Holders" and "Interests" when used herein shall have the respective meanings specified in the Declaration of Trust of the Trust.

  • Disinterested Director/Trustee means a Director/Trustee of the Fund who is not an "interested person" of the Fund within the meaning of Section 2(a)(19) of the Act.
