Unlimited Liabilities. Nothing in the Agreement excludes or limits either Party’s Liability for: (i) death, personal injury or tangible personal property damage resulting from its negligence or the negligence of its employees or agents; (ii) intentional or grossly negligent behaviour; (iii) fraud or fraudulent misrepresentation; (iv) or other matters for which liability cannot be excluded or limited under applicable law.

NOTWITHSTANDING THE ABOVE, NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS EITHER PARTY’S LIABILITY FOR: (i) DEATH OR PERSONAL INJURY RESULTING FROM ITS NEGLIGENCE OR THE NEGLIGENCE OF ITS PERSONNEL; (ii) FRAUD OR FRAUDULENT MISREPRESENTATION; (iii) AN INFRINGEMENT OF THE OTHER PARTY’S INTELLECTUAL PROPERTY RIGHTS AS OUTLINED BY THIS AGREEMENT; (iv) PAYMENT OBLIGATIONS ARISING UNDER AN ORDER OR (v) MATTERS FOR WHICH LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
