UNFORSEEN CIRCUMSTANCES. In the event that the Bursar dies or becomes physically or mentally incapable of completing his/her studies for the qualification referred to in clause 6.1.1, then the Bursar’s estate, as the case may be, shall submit proof of the death certificate and the balance outstanding in the Bursar’s account shall be dealt with according to the Institution’s policy. Where a Bursar is declared physical or mental incapable the Services SETA shall at its discretion pay what it deems appropriate.

UNFORSEEN CIRCUMSTANCES. The University, insomuch as it is within its control, will provide accommodation pursuant to the terms and conditions of this Contract. However, there may be events beyond the control of the University that affect the University’s ability to provide services and accommodation, notwithstanding our commitments under the Student Residences Contract. These events would include devastation to all or parts of the premises, like fire or flooding, unforeseen delays in construction or renovations, a union strike, or medical epidemic. In these typically rare situations, the University will reassign the resident to another room or residence. If no other room or residence is available, the University will provide a pro- rated refund of residence fees for the unexpired term. Except as specifically provided herein, the University will not be liable for damages or losses or for its inability to provide the contracted services and accommodation.

UNFORSEEN CIRCUMSTANCES. The parties expressly agree that the fact that, at any given moment, this Agreement may yield a loss to the Buyer or the Seller or that its performance would be onerous to any of the parties, shall not be an excuse to request its termination, renegotiation or modification. The parties expressly and in advance waive any right or prerogative to request the revision of this Agreement that due to these circumstances it may possess.
UNFORSEEN CIRCUMSTANCES. In the event unforeseen circumstances would develop, that would not allow the District to operate under normal conditions for an extended amount of time, the District and the Association would work together to find solutions to adapt the negotiated agreement to meet the ongoing needs of the district through a Labor Management Committee. A Labor Management Committee will be established of parties from both the Association and BOE/district administration. The Labor Management Committee would develop a Memorandum of Understanding (MOU) to address any needed adjustments to the current negotiated agreement. The Labor Management Committee would also serve to mediate issues that might arise that are not clearly covered in the negotiated agreement or the MOU. Either party may request to convene the Labor Management Committee during the time frame when normal operations are not possible to adjust language in the MOU, clarify expectations, and meet requirements set forth by governmental entities.
UNFORSEEN CIRCUMSTANCES. Emergency circumstances beyond anyone’s control sometimes arise that necessitate the delay, early closing and/or complete closure of the daycare. These may include, but are not limited to: severe and dangerous weather, personal emergencies or disasters, or staff illness. As such, I reserve the right to amend any of the aforementioned hours of operation that the daycare is open. Because of the ambiguous nature of this clause, I will make every reasonable effort to notify you via your choice of communication if such an emergency should arise. I will further advise you on the best alternatives to your child(ren) in the event of a closure, early closing, or delay of the daycare, due to such an emergency. Busy Day follows the Watertown school schedule for early dismissal in inclement weather. If the schools dismiss the children due to snow, ice etc. I will use my own discretion in our early dismissal to assure that the staff of Busy Day arrive home safely. As for days off in inclement weather I will use my discretion. If schools are canceled due to inclement weather and I feel its too dangerous for my staff to travel to work I will close. Over 4 children need two staff members. (I will take into consideration, opening, ONLY if you are an essential worker, HAVE to go to work and if I am not over the limit of children)

UNFORSEEN CIRCUMSTANCES. 15.1 If CODEXIS faces materially adverse unforeseen business circumstances (bankruptcy, liquidation), MERCK shall have the right to acquire the license to SUBSTANCE upon making a one time payment calculated [***]. Notwithstanding anything in this AGREEMENT to the contrary, MERCK shall also receive an automatic right to continue receiving the SUBSTANCE from the SUBSTANCE MANUFACTURERS at a price to be negotiated in good faith between MERCK and the SUBSTANCE MANUFACTURERS.
UNFORSEEN CIRCUMSTANCES. 9.1 The Art of Integral Being® fully intends to deliver the training programmes as advertised. However, in the event of unforeseen circumstances or factors outside the organisers control, such as, but not limited to factors affecting availability of tutors or venue, The Art of Integral Being® reserves the right to alter—by providing a reasonably close alternative— the venue, dates, content, tutors or format of the programme, while using best endeavours to maintain the intended material and style as far as possible. No refunds will be given under any such circumstances.
UNFORSEEN CIRCUMSTANCES. If additional conservation measures are necessary to respond to unforeseen circumstances, the USFWS Director may require additional measures of the Permittee and enrollee(s) where the CCAA is being properly implemented, but only if such measures are limited to modifications within the CCAA’s conservation strategy for the affected species, and only if those measures maintain the original terms of the CCAA to the maximum extent possible. Additional conservation measures will not involve the commitment of additional land, water, or financial compensation, or additional restrictions on the use of land, water, or other natural resources available for development or use under the original terms of the CCAA without the consent of the Permittee and the enrollee(s). The USFWS will have the burden of demonstrating that unforeseen circumstances exist, using the best scientific and commercial data available. These findings must be clearly documented and based upon reliable technical information regarding the status and habitat requirements of the affected species.
