Common use of Underwriter Materials Clause in Contracts

Underwriter Materials. Any of (i) that portion of ABS ICM or Term Sheet prepared by an Underwriter that contains information specified in the definition of ABS ICM (except for Item 1101(a)(4) of ABS ICM relating to static pool information) and that is not Issuer Information and (ii) any portion of a Free Writing Prospectus (other than a Time of Sale Free Writing Prospectus) prepared by or on behalf of an Underwriter that is not Issuer Information.
