Common use of Unauthorized Disclosure Clause in Contracts

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the Bank, any material confidential information obtained by him while in the employ of HMS with respect to any of HNC's or the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of a business similar to that conducted by HNC or the Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board Boards of Directors of the Corporation and Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the Corporation and Bank, any material confidential information obtained by him while in the employ of HMS Corporation and Bank with respect to any of HNCCorporation and Bank's or the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, customer lists, methods of business or any business practices the disclosure of which could be or will be damaging to HNC Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of a business similar to that conducted by HNC or the Corporation and Bank or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Company Board of Directors of the Bank and HNC or a person authorized therebythereby (except as may be required pursuant to a subpoena or other legal process), knowingly disclose to any person, other than an employee of the Bank, HNC Company or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the BankCompany, any material confidential information obtained by him while in the employ of HMS the Company with respect to any of HNC's the Company’s or the Bank’s any of its subsidiaries’ services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the BankCompany; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Bank Company or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive Employee shall not, without the written consent of the Board of Directors of the Bank and HNC Boards or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Bank and the Corporation or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive Employee of his duties as an executive Employee of the BankBank and the Corporation, any material confidential information obtained by him while in the employ of HMS the Bank and the Corporation with respect to any of HNC's or the Bank’s and the Corporation’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the BankBank and the Corporation; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive Employee or any person with the assistance, consent or direction of the ExecutiveEmployee) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Bank and the Corporation or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, the Executive Employee shall not, without the written consent of the Board Boards of Directors of the Bank and HNC Corporation or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Bank and Corporation or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive Employee of his duties as an executive Employee of the BankBank and Corporation, any material confidential information obtained by him while in the employ of HMS Bank and Corporation with respect to any of HNC's or the BankBank and Corporation’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the BankBank and Corporation; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive Employee or any person with the assistance, consent or direction of the ExecutiveEmployee) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Bank and Corporation or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his her employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his her duties as an executive of the Bank, any material confidential information obtained by him her while in the employ of HMS the Bank with respect to any of HNC's or the Corporation’s and the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business business, strategic, business, capital, or human resource plans, or any business practices the disclosure of which could be or will be damaging to HNC the Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and the Bank or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Company Board of Directors of the Bank and HNC or a person authorized therebythereby (except as may be required pursuant to a subpoena or other legal process), knowingly disclose to any person, other than an employee of the Bank, HNC Company or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the BankCompany, any material confidential information obtained by him while in the employ of HMS the Company with respect to any of HNC's the Company’s, the Corporation’s or the Bank’s any of their subsidiaries’ services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC the Company or the BankCorporation; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Bank Company or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunderConsulting Term, or at any later time, the Executive Consultant shall not, without the written consent of the Board of Directors President and Chief Executive Officer of the Bank and HNC Association or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Association or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive Consultant of his duties as an executive of the Bankduties, any material confidential information obtained by him while in the employ of HMS performing services for Association with respect to any of HNC's or the BankAssociation and ▇▇▇▇▇ Bankshares, Inc.’s (the “Company’s”) services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the BankAssociation and the Company; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive Consultant or any person with the assistance, consent or direction of the ExecutiveConsultant) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Bank Association and the Company or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Corporation Board of Directors of the Bank and HNC or a person authorized therebythereby (except as may be required pursuant to a subpoena or other legal process), knowingly disclose to any person, other than an employee of the Bank, HNC Company or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the BankCompany, any material confidential information obtained by him while in the employ of HMS the Company with respect to any of HNC's the Company’s, the Corporation’s or the Bank’s any of their subsidiaries’ services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC the Company or the BankCorporation; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Bank Company or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board Boards of Directors of the HNC and Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the HNC and Bank, any material confidential information obtained by him while in the employ of HMS HNC and Bank with respect to any of HNCHNC and Bank's or the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of a business similar to that conducted by HNC or the and Bank or any information that must be disclosed as required by law.

During the term of his her employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his her duties as an executive of the Bank, any material confidential information obtained by him her while in the employ of HMS the Bank with respect to any of HNC's or the Corporation’s and the Bank’s services, products, improvements, formulas, strategic, business, capital, operational, or human resource plans, designs or styles, processes, customers, methods of business business, or any business practices the disclosure of which could be or will be damaging to HNC the Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and the Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his Executive’s employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the ACNB Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or ACNB Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his Executive’s duties as an executive Executive of the ACNB Bank, any material confidential information obtained by him Executive while in the employ of HMS ACNB Bank with respect to any of HNC's or the Corporation’s and ACNB Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business business, or any business practices the disclosure of which could be or will be damaging to HNC the Corporation or the ACNB Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and ACNB Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the President/CEO and the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the Bank, any material confidential information obtained by him while in the employ of HMS the Bank with respect to any of HNC's or the Corporation’s and the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC the Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and the Bank or any information that must be disclosed as required by law..

Unauthorized Disclosure. During the term of his her employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the Corporation and Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Corporation and Bank, HNC Corporation and Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his her duties as an executive CFO of the Corporation and Bank, any material confidential information obtained by him her while in the employ of HMS Corporation and Bank with respect to any of HNC's or the Corporation and Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the Corporation and Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, Millennium, HNC or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive President of the BankMillennium, any material confidential information obtained by him while in the employ of HMS with respect to any of HNC's or ’s, the Bank’s, or Millennium’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or HNC, the Bank, or Millennium; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC HNC, the Bank, or the Bank Millennium or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at ------------------------ any later time, the Executive shall not, without the written consent of the Board Boards of Directors of the Corporation and Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the Corporation and Bank, any material confidential information obtained by him while in the employ of HMS Corporation and Bank with respect to any of HNCCorporation and Bank's or the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise other considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. Unauthorized Disclosure. During the term of his her employment hereunderafter the Effective Time, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the ACNB Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC ACNB or ACNB Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his her duties as an executive of the ACNB Bank, any material confidential information obtained by him her while in the employ of HMS ACNB Bank with respect to any of HNC's or the ACNB’s and ACNB Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business business, or any business practices the disclosure of which could be or will be damaging to HNC ACNB or the ACNB Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the ACNB and ACNB Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board Boards of Directors of the Parent and Parent Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Parent or Parent Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the Parent and Parent Bank, any material confidential information obtained by him while in the employ of HMS Parent and Parent Bank with respect to any of HNCParent's or the and Parent Bank’s 's services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC Parent or the Parent Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Parent and Parent Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his her employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board Boards of Directors of the HNC and Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his her duties as an executive of the HNC and Bank, any material confidential information obtained by him her while in the employ of HMS HNC and Bank with respect to any of HNCHNC and Bank's or the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of a business similar to that conducted by HNC or the and Bank or any information that must be disclosed as required by law.

During the term of his employment hereunderEmployment Period, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the Bank, any material confidential information obtained by him while in the employ of HMS the Bank with respect to any of HNC's or the Corporation’s and the Bank’s services, products, improvements, formulas, strategic or business plans, operational plans, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC the Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and the Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During and after the term of _______________________ his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the Corporation or Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the Corporation or Bank, any material confidential information obtained by him while in the employ of HMS the Corporation or Bank with respect to any of HNCthe Corporation or Bank's or the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be materially damaging to HNC the Corporation or the Bank; Bank provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC the Corporation or the Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at ------------------------ any later time, the Executive shall not, without the written consent of the Board Boards of Directors of the Corporation and Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties Execution Copy -------------- as an executive of the Corporation and Bank, any material confidential information obtained by him while in the employ of HMS Corporation and Bank with respect to any of HNCCorporation and Bank's or the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise other considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the President/CEO and the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the Bank, any material confidential information obtained by him while in the employ of HMS the Bank with respect to any of HNC's or the Corporation’s and the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC the Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and the Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive President and Chief Executive Officer of the BankHNC, any material confidential information obtained by him while in the employ of HMS with respect to any of HNC's ’s or the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive Employee shall not, without the written consent of the Board of Directors of the Bank Company and HNC E&B or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Company and E&B or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive Employee of his duties as an executive employee of the BankE&B, any material confidential information obtained by him while in the employ of HMS E&B with respect to any of HNC's Company’s or the BankE&B’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC Company or the BankE&B; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive Employee or any person with the assistance, consent or direction of the ExecutiveEmployee) or any information of a type not otherwise considered confidential by persons engaged in the same business of a business similar to that conducted by HNC Company or the Bank E&B or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the Bank, any material confidential information obtained by him while in the employ of HMS the Bank with respect to any of HNC's or the Corporation’s and the Bank’s services, products, improvements, formulas, strategic or business plans, operational plans, designs or styles, processes, customers, methods of business business, or any business practices the disclosure of which could be or will be damaging to HNC the Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and the Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive Employee shall not, without the written consent of the Board of Directors of the Bank and HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank, HNC Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive Employee of his duties as an executive Employee of the Bank, any material confidential information obtained by him while in the employ of HMS the Bank with respect to any of HNC's or the Corporation’s and the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business business, or any business practices the disclosure of which could be or will be damaging to HNC the Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive Employee or any person with the assistance, consent or direction of the ExecutiveEmployee) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by HNC or the Corporation and the Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure.
