Common use of Unauthorized Disclosure Clause in Contracts

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, Executive shall not, without the written consent of the Boards of Directors of Corporation and Bank or a person authorized thereby, knowingly disclose to any person, other than an employee of Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive of his duties as an executive of Corporation and Bank, any material confidential information obtained by him while in the employ of Corporation and Bank with respect to any of Corporation and Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging in Corporation or Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive or any person with the assistance, consent or direction of Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of a business similar to that conducted by Corporation and Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, Executive shall not, without the written consent of the Boards Board of Directors of Corporation and the Bank or a person authorized thereby, knowingly disclose to any person, other than an employee of the Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive of his duties as an executive of Corporation and the Bank, any material confidential information obtained by him while in the employ of Corporation and the Bank with respect to any of Corporation the Corporation’s and the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business business, or any business practices the disclosure of which could be or will be damaging in to the Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive or any person with the assistance, consent or direction of Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by the Corporation and the Bank or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Boards Board of Directors of Corporation and Bank HNC or a person authorized thereby, knowingly disclose to any person, other than an employee of Corporation or Bank the HNC or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of Corporation and BankHNC, any material confidential information obtained by him while in the employ of Corporation and Bank HMS with respect to any of Corporation and BankHNC’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging in Corporation or Bankto HNC; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of a business similar to that conducted by Corporation and Bank HNC or any information that must be disclosed as required by law.

During the term of his employment hereunderEmployment Period, or at any later time, the Executive shall not, without the written consent of the Boards of Directors of Corporation and Bank Board or a person authorized thereby, knowingly disclose to any person, other than an employee of Corporation or Bank ESC or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of Corporation and BankESC, any material confidential information obtained by him while in the employ of Corporation and Bank ESC with respect to any of Corporation and BankESC’s or any of its affiliated companies’ services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging in Corporation to ESC or Bankany of its affiliated companies; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Corporation and Bank ESC or its affiliated companies, or any information that must be disclosed as required by law.

During the term of his employment hereunder, hereunder or at any later time, the Executive shall not, without the written consent of the Boards of Directors of Bank and Corporation and Bank or a person authorized thereby, knowingly disclose to any person, other than an employee of Bank and Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of Corporation Bank and BankCorporation, any material confidential information obtained by him while in the employ of Bank and Corporation and Bank with respect to any of Corporation Bank and BankCorporation’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging in Corporation or Bankto Bank and Corporation; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of or the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Bank and Corporation and Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunderthis Agreement, or at any later time, Executive Xxxxxx shall not, without the written consent of the Boards of Directors of Corporation and Bank Board or a person authorized thereby, knowingly disclose to any person, other than an employee of Corporation or Bank the Company or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive Xxxxxx of his duties as an executive of Corporation and Bankhereunder, any material confidential information obtained by him while in rendering services to or on behalf of the employ of Corporation and Bank Company with respect to any of Corporation and Bankthe Company’s or any of its affiliated companies’ services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging in Corporation to the Company or Bankany of its affiliated companies; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive Xxxxxx or any person with the assistance, consent or direction of ExecutiveXxxxxx) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Corporation and Bank the Company or its affiliated companies, or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, Executive shall not, without the written consent of the Boards Chief Executive Officer of Directors of Corporation and Bank or a person authorized therebythe Corporation, knowingly disclose to any person, other than an employee Executive of the Bank and the Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive of his duties as an executive Executive of Corporation the Bank and Bankthe Corporation, any material confidential information obtained by him while in the employ of the Bank and the Corporation and Bank with respect to any of Corporation the Bank’s and Bankthe Corporation’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging in Corporation or Bankto the Bank and the Corporation; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive or any person with the assistance, consent or direction of Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by the Bank and the Corporation and Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Boards Board of Directors of Corporation and the Bank or a person authorized thereby, knowingly disclose to any person, other than an employee of Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of Corporation and the Bank, any material confidential information obtained by him while in the employ of Corporation and the Bank with respect to any of Corporation and the Bank’s 's services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be materially damaging in Corporation or Bank; to the Bank provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Corporation and the Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Boards Board of Directors of Corporation and Bank or a person authorized thereby, knowingly disclose to any person, other than an employee of Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of Corporation and Bank, any material confidential information obtained by him while in the employ of Corporation and Bank with respect to any of Corporation Corporation’s and Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging in to Corporation or Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Corporation and Bank or any information that must be disclosed as required by law.

During the term period of his employment hereunder, or at any later time, Executive shall not, without the written consent of the Boards Board of Directors of Corporation and Bank the Company or a person authorized thereby, knowingly disclose to any person, other than an employee of Corporation or Bank the Company or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive of his duties hereunder as an executive of Corporation and Bankrequired by law, any material confidential information obtained by him while in the employ of Corporation and Bank the Company with respect to any of Corporation and Bank’s Employer's services, products, improvements, formulas, designs or styles, processes, customers, methods of business distribution or any business practices the disclosure of which could be or he knows will be materially damaging in Corporation or Bankto Employer; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive or any person with the assistance, consent or direction of Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Corporation and Bank or any information that must be disclosed as required by lawEmployer.

Unauthorized Disclosure. Unauthorized Disclosure. During the term employment of his employment hereunderExecutive, or at any later time, the Executive shall not, without the written consent of the Boards Board of Directors of the Bank and Corporation and Bank or a person authorized thereby, knowingly disclose to any person, other than an employee of the Bank and Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of Corporation the Bank and BankCorporation, any material confidential information obtained by him while in the employ of the Bank and Corporation and Bank with respect to any of Corporation and Bank’s the Bank and/or Corporation's services, products, improvements, formulas, designs or styles, processes, customers, methods of business distribution or any business practices the disclosure of which could be or will be materially damaging in to the Bank and/or Corporation or Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive or any person with the assistance, consent or direction of Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Corporation the Bank and Bank or any information that must be disclosed as required by lawCorporation.

Unauthorized Disclosure. During the term of his employment hereunderthe Consulting Period, or at any later time, Executive Xxxxxx shall not, without the written consent of the Boards Board of Directors of Corporation and Bank HNC or a person authorized thereby, knowingly disclose to any person, other than an employee or director of Corporation or Bank HNC or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive Xxxxxx of his duties as an executive of Corporation and Bankconsulting duties, any material confidential information obtained by him while in during his employment with HNC or the employ of Corporation and Bank Consulting Period, with respect to any of Corporation and BankHNC’s services, products, improvements, formulas, designs or styles, processes, customers, customer lists, methods of business or any business practices the disclosure of which could be or will be damaging in Corporation or Bankto HNC; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive Xxxxxx or any person with the assistance, consent or direction of ExecutiveXxxxxx) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Corporation and Bank HNC or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his her employment hereunder, or at any later time, the Executive shall not, without the written consent of the Boards Board of Directors of Corporation and Bank or a person authorized thereby, knowingly disclose to any person, other than an employee of the Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his her duties as an executive of Corporation and BankCorporation, any material confidential information obtained by him her while in the employ of Corporation and Bank with respect to any of Corporation and Bank’s the services, products, improvements, formulas, designs or styles, processes, customers, customer lists, methods of business or any business practices of Corporation, Bank or any of their subsidiaries or affiliates, the disclosure of which could be or will be damaging in Corporation to Corporation, Bank or Bankany of their subsidiaries or affiliates; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Corporation and Corporation, Bank or any of their subsidiaries or affiliates or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunderthis Agreement, or at any later time, Executive Xxxxxxx shall not, without the written consent of the Boards of Directors of Corporation and Bank Board or a person authorized thereby, knowingly disclose to any person, other than an employee of Corporation or Bank the Company or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive Xxxxxxx of his duties as an executive of Corporation and Bankhereunder, any material confidential information obtained by him while in rendering services to or on behalf of the employ of Corporation and Bank Company with respect to any of Corporation and Bankthe Company’s or any of its affiliated companies’ services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging in Corporation to the Company or Bankany of its affiliated companies; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive Xxxxxxx or any person with the assistance, consent or direction of ExecutiveXxxxxxx) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by Corporation and Bank the Company or its affiliated companies, or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his her employment hereunder, or at any later time, Executive shall not, without the written consent of the Boards Board of Directors of Corporation and the Bank or a person authorized thereby, knowingly disclose to any person, other than an employee of the Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive of his her duties as an executive of Corporation and the Bank, any material confidential information obtained by him her while in the employ of Corporation and the Bank with respect to any of Corporation the Corporation’s and the Bank’s services, products, improvements, formulas, strategic, business, capital, operational, or human resource plans, designs or styles, processes, customers, methods of business business, or any business practices the disclosure of which could be or will be damaging in to the Corporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive or any person with the assistance, consent or direction of Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business of or a business similar to that conducted by the Corporation and the Bank or any information that must be disclosed as required by law.
