U.K. Security Agreement Clause Samples

U.K. Security Agreement. Subject to Section 5.15, each of the U.K. Security Agreements is effective to create in favor of the Collateral Agent for the benefit of the Secured Parties, legal, valid and enforceable Liens on, and security interests in, the Security Agreement Collateral referred to therein and, upon the registration specified on Schedule 7 to the relevant Perfection Certificate as in effect on the Closing Date, the Liens created by such U.K. Security Agreement shall constitute valid, perfected First Priority Liens on, and security interests in, all right, title and interest of the grantors thereunder in the Security Agreement Collateral referred to therein (other than such Security Agreement Collateral in which a security interest cannot be perfected under applicable law as in effect at the relevant time in the relevant jurisdiction), in each case subject to no Liens other than Permitted Liens.

U.K. Security Agreement. The provisions of the UK Security Agreement are supplemental to the provisions of this Agreement, and nothing contained in the UK Security Agreement shall limit any of the rights or remedies of any Secured Party hereunder.

U.K. Security Agreement. Notwithstanding any other provision of this Agreement, each Secured Party irrevocably appoints the Administrative Agent to act as its trustee under and in connection with the UK Security Agreement on the terms and conditions set out in the UK Security Agreement to hold the assets subject to the security thereby created as trustee for the Secured Parties on the trusts and other terms contained in the UK Security Agreement. Each of the Secured Parties authorizes the Administrative Agent to exercise the rights, remedies, power and discretions, specifically given to the Administrative Agent under or in respect of the UK Security Agreement, together with any rights, remedies, power and discretions, incidental thereto. In addition, when acting in the capacity of trustee for the Secured Parties, the Administrative Agent shall have all the rights, remedies and benefits of and in favor of the Administrative Agent contained in this Article X.

U.K. Security Agreement. In the case of the UK Grantors, in the event of a conflict between the terms of this Security Agreement and the terms of the UK Security Agreement, solely with respect to any Collateral that is located in England and Wales or governed by the laws of England and Wales, and subject to a valid and perfected security interest in favor of the Notes Collateral Agent pursuant to the UK Security Agreement, the terms of the UK Security Agreement shall control.

U.K. Security Agreement. Receipt by the Administrative Agent of (i) the executed UK Security Agreement, in form and substance satisfactory to the Administrative Agent and the Lenders and (ii) all filings as are necessary to perfect the Administrative Agent's security interest in the Collateral.

U.K. Security Agreement. UK Borrower shall have duly authorized, executed and delivered the UK Security Agreement substantially in the form of Exhibit 5.1(c)(iv) hereto (as modified, supplemented, amended, or otherwise restated from time to time in accordance with the terms hereof and thereof, the "UK Security Agreement") and shall have delivered to Administrative Agent, as Pledgee, all the Pledged Securities referred to therein then owned, if any, by such Credit Party, together with executed and undated stock powers or stock transfer forms, as appropriate, in the case of Capital Stock constituting Pledged Securities and such other documents shall be in full force and effect;
