UGRO Options. Prior to the Closing, the UGRO Board shall have adopted appropriate resolutions and taken all other actions necessary and appropriate to provide that the vesting and exercisability of each unexpired, unexercised and unvested UGRO Option shall be accelerated in full effective as of immediately prior to the Effective Time.
