UCC Notices. In the event that any party hereto shall be required by the UCC or any other applicable law to give notice to the other of an intended Disposition of Statoil Assets and Collateral or Lenders Collateral, respectively, such notice shall be given in accordance with Section 3.1 hereof and ten (10) days’ notice shall be deemed to be commercially reasonable.
UCC Notices. In the event that Moriah or the Notes Collateral Agent shall be required by the UCC or any other applicable law to give notice to the other of intended disposition of Collateral, such notice shall be given in accordance with Section 3.8 hereof, and five (5) days' notice shall be deemed to be commercially reasonable.
UCC Notices. In the event that the First Lien Lender or the Second Lien Creditor shall be required by the Uniform Commercial Code or any other applicable law to give notice to the other of intended disposition of Collateral, such notice shall be given in accordance with Section 5.10 hereof and ten (10) days’ notice shall be deemed to be commercially reasonable.
UCC Notices. If Senior Creditor shall be required by the UCC or any other applicable law to give notice to Junior Creditor of any action taken or to be taken by Senior Creditor against or with respect to any or all of the Senior Creditor Collateral, such notice shall be given in accordance with Section 23 above and five (5) days' notice shall be conclusively deemed to be commercially reasonable.
UCC Notices. In the event that any Secured Party shall be required by the UCC or any other applicable law to give notice to any other Secured Party of any intended disposition of Collateral, such notice shall be given in accordance with Section 3.1 hereof and ten (10) days' notice shall be deemed to be commercially reasonable.
UCC Notices. (a) In the event that the Indenture Trustee shall be required by the UCC or any other applicable law to give notice to the OpCo Agent of any intended disposition of any Warehouse Collateral, such notice shall be given in accordance with Section 3.1 hereof and ten (10) days' notice shall be deemed to be commercially reasonable.
UCC Notices. In the event that a Seller or the Trust shall be required by the UCC or any other applicable law to give notice to the other of an intended disposition of any portion of the Seller Collateral or the Trust Collateral, as the case may be, such notice shall be given in accordance with Section 5.1 below and ten (10) days’ notice shall be deemed to be commercially reasonable. The execution of this Agreement by the Sellers and the Trust shall be deemed to be each party’s notice to the other parties hereto of a claim of an interest in the Trust Collateral and the Seller Collateral for the purposes of Section 9-620 of the UCC.
UCC Notices. In the event that the ABL Lenders Agent and the Term Lenders Agent, on the one hand, or the Receivables Agent, on the other hand, shall be required by the UCC or any other applicable law to give notice to the other of intended disposition of Receivables Assets or Lenders Collateral, respectively, such notice shall be given in accordance with Section 3.1 hereof and ten (10) days’ notice shall be deemed to be commercially reasonable.
UCC Notices. In the event that any Claimant shall be required by the UCC or any other applicable law to give any notice to the other Claimant, such notice shall be given in accordance with the notice provisions hereof, and 5 Business Days notice shall be conclusively deemed to be commercially reasonable.
UCC Notices. In the event that any Creditor shall be required by the UCC or any other applicable law to give any notice to the other Creditor, such notice shall be given in accordance with Section 21 hereof and 5 Business Days notice shall be conclusively deemed to be commercially reasonable. Any notice given pursuant to this section is agreed to comply with the timing and addressing requirements of Sections 9504 and 9505 of the UCC. To the extent that any Creditor is entitled by Sections 9504 or 9505 of the UCC to request notice from any other Creditor, this Section 9 constitutes such a request.
