U. S. WARN Act. Buyer agrees with respect to the Transferred Employees to provide any required notice under the Worker Adjustment and Retraining Notification Act ("WARN") and any other applicable Law and to otherwise comply with any such statute with respect to any "plant closing" or "mass layoff' (as defined in WARN) or similar event affecting employees and occurring on or after the Effective Time or arising as a result of the transactions contemplated hereby. Buyer shall indemnify and hold harmless Seller with respect to any liability under WARN or other applicable Law arising from the actions (or inactions) of Buyer, on or after the Effective Time with respect to the Transferred Employees.

U. S. WARN Act. Buyer agrees to provide any required notice under WARN and any other similar applicable Law and to otherwise comply with any such similar statute with respect to any “plant closing” or “mass layoff” (as defined in WARN) or similar event (collectively, the “Warn Notice Obligations”) affecting employees and occurring on or after the Closing Date. The Buyer’s obligation under this Section is conditioned on the accuracy of the representations and warranties in Section 4.16 and the Seller’s compliance with its obligations under Section 11.6.
