Turnover Assistance. Grantee will provide any assistance and actions reasonably necessary to enable System Agency or its designee to effectively close out the Grant Agreement and transfer the performance and obligations of the Grant Agreement to another Grantee or to System Agency if necessary. Grantee agrees that this obligation survives the termination, regardless of whether for cause or convenience, or the expiration of the Grant Agreement and remains in effect until completed to the satisfaction of System Agency.

Turnover Assistance. Upon receipt of notice of termination of the Contract from CHFS, the Vendor shall provide any turnover assistance reasonably necessary to enable CHFS or its designee to effectively close out the Contract and move the work to another vendor or to perform the work by itself.

During the Turnover Phase, the MCO must continue performing under the Contract, including rendering all contracted Services, until such time HHSC determines that the MCO has completed all requirements in accordance with the Turnover Plan.

Upon receipt of notice of termination of the Contract by HHSC, Dental Contractor will provide any Turnover assistance reasonably necessary to enable HHSC to effectively close out the Contract and move the work to another vendor or to perform the work itself. During the Turnover Phase, Dental Contractor must continue performing under this Contract, including rendering all Contracted services, until such time Dental Contractor completes all activities in accordance with Dental Contractor’s HHSC-approved Turnover Plan.
