Signature of this Contract by the CONTRACTOR shall act as the execution of the truth-in- negotiation certificate certifying that the wage rates and costs used to determine the compensation provided for in this Contract are accurate, complete and current as of the date of the Contract and no higher than those charged the CONTRACTOR’S most favored customer for the same or substantially similar service. The said rates and costs shall be adjusted to exclude any significant sums should the COUNTY determine that the rates and costs were increased due to inaccurate, incomplete or non-current wage rates or due to inaccurate representations of fees paid to outside Contractors. All such contract adjustments shall be made within one (1) year following the end of this Agreement.

The Agency will document the delivery of services for the Supportive Services for Children of Incarcerated Parents - West. The program will provide youth development programming and weekly mentoring for youth in grades 2-12 in Orlando, in high-risk neighborhoods typically marked by elevated crime and poverty rates and low educational levels. The Agency shall provide the location of services and hours to the CCC for approval, prior to the commencement of program services. The Agency will document that outputs/units of service have been provided. Agency’s Performance Measurements, approved by the Citizens’ Commission for Children (CCC) will be documented and reported upon bi-annually. Priority preference will be given to Orange County citizens residing in the identified Targeted Community Initiative Sector(s) at locations throughout Orange County as approved by the CCC. The Agency shall provide the location of services and hours to the CCC for approval, prior to the commencement of program services. The Consultant understands and agrees that execution of this agreement by the Consultant shall be deemed to be simultaneous execution of a truth-in- negotiation certificate under this provision to the same extent as if the certificate had been executed apart from this Agreement, such certificate being required by Section 287.055, Florida Statutes. Pursuant to such certificate, the Consultant hereby states that the wage rates and other factual unit costs supporting the compensation hereunder as detailed in Appendix C - Work Plan and by this reference made a part hereof are accurate, complete, current and for Federally assisted contracts consistent with the Federal cost principals contained in Title 48, Code of Federal Regulations (CFR), Part 31, at the time of contracting. Further, the Consultant agrees that the compensation hereunder shall be adjusted to exclude any significant sums where the Owner determines the contract price was increased due to inaccurate, incomplete or non-current wage rates and other factual unit costs, provided that any and all such adjustments shall be made within three (3) years following the completion date of this Agreement.

Consultant's compensation under this Agreement is based upon representations supplied to County by Consultant, and Consultant certifies that the information supplied, including without limitation in the negotiation of this Agreement, is accurate, complete, and current at the time of contracting. County shall be entitled to recover any damages it incurs to the extent such representation is untrue.
