Trustee Notice. Trustee is not obligated to notify any party hereto of any pending sale under any other deed of trust or of any action or proceeding in which Grantor, Beneficiary or Trustee shall be a party, unless brought by Trustee.

Trustee Notice. CUAQ, simultaneously with the Closing, will deliver to the Trustee of the Trust Account of CUAQ a termination letter pursuant to the Trust Agreement to liquidate such Trust Account and disburse the funds therein to the Vendors or their designees and to CUAQ.

Upon notice from Trustee pursuant to Section 4.1 of the Revocable Cryopreservation Trust, Alcor, in its sole and absolute discretion, will determine if the subject of the notice constitutes a breach of any of the agreements, including but not limited to the Application for Membership and the Cryopreservation Agreement, between Alcor and Member such that Alcor is no longer obligated to provide cryopreservation services to Member.
