Transition Following Expiration or Termination. In the event of a termination or expiration of this Agreement for any reason, during the pre-termination notice period and for a period of up to ninety (90) days after the effective date of such termination, CRISP will provide, upon written request by Participant, a reasonable amount of transition services with respect to Replacement Functionalities (“Transition Services”). Replacement Functionalities are Participant’s; (i) participation in another health information exchange serving District of Columbiaresidents; (ii) in-sourcing responsibilities or transitioning responsibility to a third-party for transfers of Data to PHRs if such transfers were a Permitted Use as of the date of termination; or (iii) in-sourcing or transitioning to a third party means for receipt of Push Messages previously available through the CRISP HIE from third parties such as clinical laboratories or radiology-imaging providers and/or obtaining another arrangement for the availability of CRISP Services. The provision of Transition Services shall not require CRISP to incur any out-of-pocket expenses. Transition Services will, in general, consist of helping Participant assess key elements of its needs as to Replacement Functionalities such as; (a) Participant’s System characteristics; (b) assisting the Participant in identifying possible sources of appropriate Replacement Functionalities; (c) assisting Participant in making initial contact with such possible replacements; and (d) such other assistance as shall be determined appropriate by CRISP. CRISP makes no guarantee as to the availability of Replacement Functionalities, and Participant is solely responsible for evaluating and negotiating an appropriate arrangement with any such source of Replacement Functionalities. CRISP may make Transition Services available through on-line tools, information and other similar resources. All Transition Services are subject to the applicable provisions of these Terms and Conditions which survive termination as specified in Section 22.05. Transition Services will not apply to the Licensed CRISP Services. The foregoing shall not apply to termination in an External HIE or Participant’s participation in an External HIE.

By the 30th day after the termination of this Agreement or any individual Project Agreement, RRD (if so designated) shall cease to act as the IND Sponsor for all affected programs for which RRD has accepted IND Sponsorship under any terminated Project Agreement(s), and RRD and Dipexium shall, at Dipexium’s expense, take all actions necessary to effect the transfer back to Dipexium (or a third party designated by Dipexium) of, (i) the IND or that portion of the IND related to the terminated Program, (ii) the regulatory files related to such terminated Programs, and (iii) any and all documents or materials related to the terminated Programs.

Related to Transition Following Expiration or Termination

  • Expiration or Termination A. Owner shall have the right, upon thirty (30) days prior written notice to Operator, to terminate this Agreement in its entirety, upon or after the happening of one or more of the following events, if said event or events shall then be continuing:

  • Termination; Survival Following Termination (i) Either party may terminate this Agreement prior to the end of the Agency Period, by giving written notice as required by this Agreement, upon ten (10) Trading Days’ notice to the other party; provided that, (A) if the Company terminates this Agreement after the Agent confirms to the Company any sale of Shares, the Company shall remain obligated to comply with Section 3(b)(v) with respect to such Shares and (B) Section 2, Section 6, Section 7 and Section 8 shall survive termination of this Agreement. If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.

  • Transfer of Responsibility on Expiry or Termination 15.1 The Contractor shall, at no cost to the Department, promptly provide such assistance and comply with such timetable as the Department may reasonably require for the purpose of ensuring an orderly transfer of responsibility upon the expiry or other termination of this Contract. The Department shall be entitled to require the provision of such assistance both prior to and, for a reasonable period of time after the expiry or other termination of this Contract.
