Common use of Transferred Liabilities Clause in Contracts

Transferred Liabilities. Upon the terms and subject to the conditions of this Agreement, and subject to Section 2.06, at the Closing, Purchaser (or one or more of its Affiliates) shall assume the Transferred Liabilities and shall agree to satisfy and discharge when due all such Transferred Liabilities. ​ ​
