Transfer or Exchange of Beneficial Interests for Certificated Securities. If any one of the events listed in Section 305(a) has occurred or the Company has elected to cause the issuance of certificated Securities, transfers or exchanges of beneficial interests in a Global Security for a certificated Security shall be effected, subject to the satisfaction of the conditions set forth in the applicable subclauses of this Section 305(b)(2).

If any one of the events listed in clauses (1) to (4) of this Section 305(a306(c) has occurred or the Company has elected pursuant to Section 306(a) to cause the issuance of certificated Certificated Securities, transfers or exchanges of beneficial interests in a Global Security for a certificated Certificated Security shall be effected, subject to the satisfaction of the conditions set forth in the applicable subclauses sub-clauses of this Section 305(b)(2306(c).
