Transfer of Servicing Obligations. On and after the date on which a service is no longer being provided pursuant to the Transition Services Agreement, and pursuant to the Administrative Services Agreement, the Reinsurer has agreed to provide Policyholder service for the Policies, the Post-Closing Policies and the Separate Accounts and to supply to the Company on a timely basis copies of accounting and other records pertaining to such service. The parties hereby agree that the Policies, the Post-Closing Policies and the Separate Accounts shall be administrated pursuant to the Administrative Services Agreement. The Company shall not be obligated to pay any additional monies to Reinsurer for such administrative services.

Reinsurer’s compensation for all services provided to the Company pursuant to the NY Administrative Services Agreement shall be included in the reinsurance premium paid by the Company to Reinsurer pursuant to Section 3.2 above and the Company shall not be obligated to pay any additional monies to Reinsurer for such administrative services.

The parties hereby agree that the Variable Contracts shall be administered pursuant to the Administrative Services Agreement. Except as otherwise expressly provided for under the Administrative Services Agreement, Reinsurer’s compensation for all services provided to the Company with respect to the Variable Contracts pursuant to the Administrative Services Agreement shall be included in the reinsurance premium paid by the Company to Reinsurer pursuant to Section 2.03(b) of the Purchase Agreement, and the Company shall not be obligated to pay any additional monies to Reinsurer for such administrative services.
