Transfer of Knowledge. B.3.1. Quality and Importance of the Transfer of Knowledge programme There is a large exchange of knowledge in our research work, since this application is generated by the growing interest on this technology and the enlargement of the FTK collaboration. We have a very rich program of secondments characterized by some peculiarities. First of all many physicists and engineers will be exchanged among the participant institutions, some of them working on the same items. This is justified by the fact that the project is complex and an important goal of this application is the transfer of competencies to new teams that should be strong enough to support all the new applications and developments. The new components of the collaboration have a first period dedicated to learn the technology, followed by a second period where they will become the leading actors of a new application or a working package. The new teams need a significant number of participants to face the effort of the development of a new application. A second feature of our plan is frequent splitting of secondments in multiple periods. This is justified by a scientific program with multiple phases of design, construction, test and commissioning. Transfer of knowledge (ToK) is optimized with multiple periods, as explained below. The multi-return-mechanism will ensure each time efficient ToK back into the organisation of origin of the seconded staff, spreading the experience to the whole group. Particularly important is the ToK to CAEN & PRIELE. The FTK project has been developed in a very long time (R&D started in 1989) with a very low budget per year. One reason for such a slow increase of budget has been the large diffusion of the CPU-farm based trigger strategy at LHC. The FTK research field had to compete with the predominant idea that commercial devices were the best choice to perform the FTK tasks. FTK was never allowed to assign part of the design to a company, because of the high costs. CAEN itself never participated to FTK in the past, even if it would have been natural given its experience in the field and its small distance from Pisa, the place where FTK was born. The LHC data taking and the machine working conditions changed this scenario. The large number of secondary interactions (high pile-up) that characterized the 2011 run and will increase in the future favour the FTK very powerful parallel architecture. Transfer of Knowledge. To make sure that the future organisers of FIS World Ski Championships can benefit from the lessons learned by their predecessors and apply many existing and successful practices to their events, FIS has developed its FIS World Ski Championships Knowledge Transfer programme. While the main goal of this programme is to ensure the transfer of key organisational and event planning knowledge, other goals include to help streamline and standardise some aspects of event organisation to help try and reduce mistakes or prevent ‘re-inventing the wheel’. One of the tools that will assist in practical terms is the development of a knowledge base comprising data from every area of event organisation and management. The LOC is required to provide the necessary data during and after their event, based on the FIS templates that they will receive in advance of the FIS Championships.
Transfer of Knowledge. For a period of eight (8) consecutive weeks following the Effective Date (such eight week period, the “Knowledge Transfer Period”), and provided that OPNET pays timely and in full the Initial Services Fee identified in Section 7 below, RadView shall make available to OPNET the professional services of three (3) RadView employees, each of whom shall be knowledgeable in the source code for the Software, and qualified to provide Services to OPNET with respect to the Source Materials (the “Knowledge Transfer Consultants”) and each of whom shall be dedicated to OPNET on a full time basis (assuming an eight (8) hour workday, during the Israeli or United States work week, as applicable based on the venue of the Knowledge Transfer Consultants when performing the Services, and subject to the RadView paid holidays identified in Exhibit D hereto) during the Knowledge Transfer Period. Each such employee, and any other RadView employee who may perform professional services for OPNET in connection with this Agreement, shall be hereinafter referred to as a “Knowledge Transfer Consultant” or a “Training Consultant”. The Knowledge Transfer Consultants shall provide Services on a time and material basis and work under the direction of OPNET to provide one or more of the following services (collectively, the “Services”): (i) knowledge transfer with respect to the Source Materials, (ii) creation of the “build environment”, including full test system and all existing test cases for API and UI testing (as well as the source code for any custom developed build or test tools), (iii) support OPNET’s use of the Source Materials, and general technical support to OPNET in its use of the Source Materials, (iv) development tasks and work related to Derivative Product(s) as directed by OPNET, and (v) such other professional services permitted under this Agreement related to the Source Materials and/or the Derivative Product(s). During the Knowledge Transfer period, OPNET may, at its sole discretion elect to use portions of the Services described in this Section 5: (a) to extract additional portions of the Source Material revision control history, including but not limited to any file versions in between the Major Releases of the Software generally distributed by RadView, as well as any “check-in comments” and “change logs” associated with those file versions, limited to the 48 months prior to the Effective Date, and as late as the payment date specified under Section 7.2 for the fourth ...

Under the condition that Licensee is entitled to do so, Licensee will at dGB’s request make available research results, produced under the scope of this agreement, that are of interest to dGB.
