Transfer Laws. Continental and TCICP each waives ----------- ------------- compliance by the other with Legal Requirements relating to bulk transfers applicable to the transactions contemplated hereby.
Transfer Laws. The parties do not believe that any creditor notice or fraudulent conveyance statute applies to the transactions contemplated by this Agreement. Buyers therefore waive compliance by Seller with the requirements of any such statutes, and Seller agrees to indemnify and hold Buyers harmless against any claim by any creditor of Seller or claimant against either or both of Buyers as a result of a failure to comply with any such statute.
Transfer Laws. Buyer acknowledges that Seller will not comply with the provisions of any bulk transfer laws of any jurisdiction in connection with the transactions contemplated by this Agreement and Buyer shall not be responsible for any violations in connection with such noncompliance.

Transfer Laws. The rights and obligations of the Parties with respect to Client Personnel employed as of the Commencement Date in jurisdictions in which Laws regulating the transfer of employees between businesses apply (the “Transfer Laws”) shall be set forth in the Local Agreement(s) for such jurisdictions. If and to the extent the activities to be undertaken in such jurisdictions under a Local Agreement constitute or involve a transfer subject to a Transfer Law, the Parties shall comply with their respective obligations under such Law. In such event, the rights and obligations of the Parties under this Agreement will be modified in the applicable Local Agreement(s) if and to the extent necessary to comply with the Transfer Law and/or any agreements with recognized trade unions applicable to such Client Personnel.
Transfer Laws. The Company will be the certifying and responsible party for compliance with the Connecticut Transfer Act C.G.S. 22a-134 et seq. and the New Jersey Industrial Site Recovery Act N.J.S.A 13:1K et seq. and the respective associated rules and regulations (together “Transfer Laws”). The Company will sign all documents related to the Transfer Laws. The Company will pay or cause to be paid all fees, costs and expenses, including without limitation, all Environmental Liabilities and Costs associated with complying with the Transfer Laws.
