Transfer and Assignments. You may not grant, transfer or assign any of your rights to an account without our prior written consent. We are not required to accept, pass upon or recognize an attempted assignment of an account, including a savings account, or any interest in it.

Transfer and Assignments. Allegheny may transfer, convey, assign or otherwise dispose of, in whole or in part, its percentage interest in the Company to any person. No other Member of the Company may transfer, convey, assign or otherwise dispose of, in whole or in part, its percentage interests in the Company; provided, that MLIBK may transfer, convey, assign or otherwise dispose of its percentage interests in the Company as permitted by Section 5.18 of the Asset Contribution and Purchase Agreement. If any Member transfers all of its percentage interest in the Company pursuant to and in accordance with this Section 21, the transferee shall be admitted to the Company as a member of the Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement, which instrument may be a counterpart signature page to this Agreement. Such admission shall be deemed effective immediately prior to the transfer and, immediately following such admission, the transferor Member shall cease to be a member of the Company. Notwithstanding anything in this Agreement to the contrary, any successor to a Member by merger or consolidation shall, without further act, take the place of such Member hereunder, and such merger or consolidation shall not constitute an assignment for purposes of this Agreement and the Company shall continue without dissolution.
Transfer and Assignments. PTV may at its own discretion involve subcontractors for the provision of the MSAS. Notwithstanding the terms of section 3.2, PTV may at its own discretion transfer the responsibilities to provide the MSAS to the VAR or take them over from the VAR.
Transfer and Assignments. (a) The Borrower shall not have the right to assign this Agreement or any of the Borrower’s obligations hereunder, or any interest herein, to any other party unless the Borrower shall have obtained in writing the Lead Lender’s consent.

Carrier shall not assign or otherwise transfer all or any part of its interest, rights, and duties in this Agreement, or sublet the area licensed hereunder or any portion thereof to be occupied by anyone other than Carrier, without the City's prior written consent in each instance, which consent shall not be unreasonably withheld, conditioned, or delayed. Any transfer that is not in compliance with this Section shall be void. Notwithstanding the foregoing, Carrier may, without the consent of City assign this Agreement, any Small Wireless Facility Permit, and/or related permits to any entity which (i) shall Control, be under the Control of, or be under common Control with Carrier; (ii) is a successor to Carrier either by merger or other consolidation of Carrier; or (iii) acquires all or substantially all of the Carrier’ assets in the market defined by the FCC in which the Facilities are located, provided that such entity is bound by all of the terms and conditions of this Agreement. Carrier shall provide the City notice of any such assignment within a reasonable period of time after the consummation thereof.
Transfer and Assignments. The Independent Member may not transfer or assign its membership interest or any of its rights or responsibilities. A Member may not transfer or assign, in whole or in part, its membership interest without the express written consent of the Independent Member. In the event of a transfer or assignment of a Member's interest, the transferee shall be admitted to the Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of the provisions of this Agreement. Neither BTS nor the Customer may assign or transfer its rights or duties under this Agreement without the written consent of the other party, except that BTS may assign its rights and duties (A) to any subsidiary, parent, or affiliate of BTS, (B) pursuant to any sale or transfer of substantially all of the assets of BTS, or (C) pursuant to any financing, merger, or reorganization of BTS. Default: If either party fails to perform any material obligation under this Agreement or violates any material term or condition of this Agreement, and such failure or violation is not cured within 30 days following receipt of a written default notice from the other party, then the non-defaulting party shall have the right to terminate this Agreement upon written notice to the defaulting party and seek any and all legal and equitable remedies. E911: Emergency Calls should be placed from phones that are located at the service location for which they are registered. If you must use Buckeye TeleSystem Epiphany service for emergency calls away from your registered service location, be prepared to provide the answering public safety authority with specific information regarding your location. An appropriate, authorized local safety authority might not answer an emergency call placed from a phone that has been removed from it registered service location. Epiphany service is not basic local exchange service and may not include access to E911 service. If you use Epiphany service in a geographic area where Buckeye TeleSystem provides local exchange service, you may have access to E911 service if and only if you contact and report the change of your location. Some users, depending on the service level purchased, may have access to self-registration with the E911 database through a web portal interface. Otherwise, the number to contact Buckeye for reporting such a change is 419-724-9898 (Northwest Ohio/SE Michigan) or 000-000-0000 (Sandusky/Huron). Spoofing/False representation of originating Telephone Numbers - Under no circumstances can the customer change, modify, replace or otherwise tamper with the SDP field (SIP invite original Caller Description field) of the phone system to any number other than: (1) the lead billing number associated with the SIP trunk, (2) a number, other than the lead billing number, that Buckeye has agreed to, or (3) the originating inbound public telephone number that was presented to the phone system. Transfer and Assignments. Neither of the Parties may assign nor transfer any part of its rights or obligations under this Loan Agreement without the prior written consent of the other Party. This Loan Agreement shall be binding upon and inure to the benefit of the permitted assignees of the Parties. Notwithstanding the above, the Lender may pledge its rights under this agreement to the Finance Parties under the Facility Agreement.
