Common use of Transfer Agreement Clause in Contracts

Transfer Agreement. In connection with each Transfer of an interest in the Partnership: (i) the transferor and transferee shall execute and deliver to the Partnership a written instrument of Transfer in form and substance reasonably satisfactory to the General Partner; and (ii) the transferee shall execute and deliver to the Partnership a written instrument pursuant to which the transferee assumes all obligations of the transferor associated with the transferred interest and otherwise agrees to comply with the terms and provisions of this Agreement. For the avoidance of doubt, the requirements of clauses (i) and (ii) of this Section 7.1(b) may be met in a single written instrument.
