Transactions with Management. Except as set forth in Schedule 3.22, the Company is not a party to any contract, lease, agreement or other commitment with any officer, director or shareholder of the Company or any Affiliate of any such Person, and there are no loans outstanding from the Company to, or to the Company from, any such Person or any Affiliate of any such Person.
