Training and Professional Services. MapR will provide the Professional Services described in a SOW at the rates or for the amounts set forth therein. Each SOW shall contain information about the scope of the engagement, the Professional Services, the MapR Materials, pricing, and such other information as may be necessary and desirable to understand the particular requirements and assumptions of the specific project at issue. MapR will provide Training Services as specified in the applicable Order Form, which may include MapR Materials. Subject to Customer's timely payment of any fees and expenses as set forth in this Agreement and the applicable SOW and/or Order Form (“Services Fees”) and the license terms and conditions of the Agreement, MapR grants Customer a limited, non-transferable, non-assignable, non-sublicenseable, royalty-free license to use the MapR Materials during the License Term. The MapR Materials are licensed for use solely in conjunction with the Licensed Products.
Training and Professional Services. As part of the Support Services, Vendor will provide the City with gap training/documentation that impacts the operation of the System as a result of any updates or upgrades to the System Functionality. Such training will be provided to the City at no additional costs and shall be structure to allow the Vendor to present the information to the applicable audience as efficiently as possible. Any additional professional services Vendor provides other than those incidental to facilitate the Support Services will be provided under a separate statement of work.
Training and Professional Services. The Customer may order training and/or professional services with the Software, in which case all training and/or professional services days must be taken within 12 months of the date of their order.
Training and Professional Services. SQSI shall provide training and professional services in the use of the Application to the Client. Client agrees that appropriate training in accordance with Schedule 1 and provided by SQSI is a condition of this Agreement. Training and Professional Service hours will be quoted on each OnDemand Agreement in accordance with the required training specified for the specific software configuration ordered by the Client. Additional hours may be deemed necessary by SureQuest to bring the Client to an appropriate level of adequacy in the operation of the application. Additional hours must be mutually agreed upon by XXXX, Client and Sysco and will be invoiced separately. Any unused pre-paid training hours will expire three (3) years from the date of purchase or upon termination of this Agreement. SQSI may, upon written request from the Customer, waive the expiration of unused training hours as long as this Agreement is in full effect. Cancellation of any scheduled training event without 24 hours (one business day) notice to SQSI or failure to attend a scheduled training event will incur charges as if training services were delivered by SQSI. Repeated cancellations or failure to attend scheduled training events may delay implementation schedules and delivery of OnDemand Application logins without liability or breach on the part of SQSI or Sysco.

  • Professional Engineering and Architect’s Services Professional Engineering and Architect’s Services are not permitted to be provided under this Agreement. Texas statutes prohibit the procurement of Professional Engineering and Architect’s Services through a cooperative agreement.

  • Professional Service Consultant agrees that all services and work performed under this agreement will be accomplished in a professional manner, in accordance with the accepted standards of Contractor’s profession.

  • Contract for Professional Services of Physicians Optometrists, and Registered Nurses In accordance with Senate Bill 799, Acts 2021, 87th Leg., R.S., if Texas Government Code, Section 2254.008(a)(2) is applicable to this Contract, Contractor affirms that it possesses the necessary occupational licenses and experience.

  • Transitional Services Contractor shall provide Transitional Services to offenders who are being released from a prison, an assessment/sanction center, prerelease center, or treatment center for up to the first 90 days of community supervision after release. A Probation and Parole Officer (PO) will determine the specific services to be provided to each offender based on the offender’s needs and individualized case plan as determined or developed by the State. The referring PO will complete an agreed upon referral form designating the services selected. Contractor will confirm availability of services, establish a start date, and return the referral form to the PO and the designated State staff.

  • Investigational Services This plan covers certain experimental or investigational services as described in this section. Clinical Trials This plan covers clinical trials as required under R.I. General Law § 27-20-60. An approved clinical trial is a phase I, phase II, phase III, or phase IV clinical trial that is being performed to prevent, detect or treat cancer or a life-threatening disease or condition. In order to qualify, the clinical trial must be: • federally funded; • conducted under an investigational new drug application reviewed by the Food and Drug Administration (FDA); or • a drug trial that is exempt from having such an investigational new drug application. To qualify to participate in a clinical trial: • you must be determined to be eligible, according to the trial protocol; • a network provider must have concluded that your participation would be appropriate; and • medical and scientific information must have been provided establishing that your participation in the clinical trial would be appropriate. If a network provider is participating in a clinical trial, and the trial is being conducted in the state in which you reside, you may be required to participate in the trial through the network provider. Coverage under this plan includes routine patient costs for covered healthcare services furnished in connection with participation in a clinical trial. The amount you pay is based on the type of service you receive. Coverage for clinical trials does not include: • the investigational item, device, or service itself; • items or services provided solely to satisfy data collection and that are not used in the direct clinical management; or • a service that is clearly inconsistent with widely accepted standards of care.

  • Professional Services Warranty 5.1 Oracle warrants that Professional Services will be provided in a professional manner consistent with industry standards. Customer must notify Oracle of any warranty deficiencies within 60 days from performance of the deficient Professional Services.
