Training and Consulting Services. Upon request of Customer, Iron Mountain or its Suppliers can provide training and/or consulting services for an additional fee and subject to the signing of a Statement of Work describing such services. Support for any earlier versions of the Licensed Software or for errors not covered under this Exhibit A will be provided only in accordance with a Statement of Work.

Training and Consulting Services. 3DP shall provide up to an aggregate of [**] of (i) training and support services to qualified BMS personnel during [**] pertaining to the operation and support of the Proteomica(TM) Database, at no additional charge to BMS, and (ii) Consulting Services (pursuant to Article 5). Any such training and support will be provided at such times and in such places and in such form as may be mutually agreeable to the Parties.
Training and Consulting Services. If so indicated on an Order, AgileCraft will provide to Licensee training services (“Training”) and/or the consulting services identified on a Statement of Work attached to the Order and executed by Licensee and AgileCraft (“Consulting”). Training and Consulting are sometimes collectively referred to as “Professional Services.” If Licensee requires a change in the Professional Services delivery dates, AgileCraft will use reasonable efforts to accommodate the change and schedule alternatives; however, if the Professional Services are not rescheduled for completion prior to the expiration of the Training Credits (if any, as set forth on the applicable Order), the Training Credits will be cancelled and not available to Licensee. ; AgileCraft hereby grants Licensee a non-exclusive, non- transferable license to use and modify all documentation, reports, and any other deliverables delivered as a result of the Professional Services (“Deliverables”) solely for Licensee’s internal use. AgileCraft warrants that Professional Services will be performed in a workmanlike, professional manner by qualified personnel, and that Consulting will be performed in conformity with the terms of the applicable Statement of Work. In the event of a breach of this warranty, Licensee will notify AgileCraft of the breach within ninety (90) days of completion of the Professional Services and AgileCraft will promptly re-perform the Professional Services at no additional cost to Licensee. If AgileCraft is unable to correct the deficient performance of Professional Services within a commercially reasonable time, Licensee may terminate the applicable Statement of Work (if the Professional Services are Consulting) and receive a refund of amounts paid in respect of the deficient Professional Services.
Training and Consulting Services. Upon request of Customer, M&I agrees to provide the relationship management consulting services and user training specified on attached Exhibit B (collectively, "Consulting Services"). Unless otherwise specified on Exhibit B, hourly rates for Consulting Services are billable at M&I's then-current rates. Customer shall reimburse M&I for all reasonable and actual out-of-pocket expenses incurred by M&I in connection with the consulting services including supplies, travel, lodging and meals. Customer pays for their attendees.

  • Training Services Training Services may include pre-packaged training Products, and/or the development or customization of training programs as requested, including Live Training, Computer Based/Multi-Media Training which encompasses Internet-Delivered Training, and/or Video Based Training.

  • Counseling Services Counseling services are available to Residents through the UC Health Employee Assistance Program. In addition, residents may utilize their health insurance coverage to access mental health care under the terms and conditions of their health care insurance provider.

  • Dining Services Meal Plan and applicable Dining Services policies are as stated herein. Any questions regarding Resident’s Meal Plan or Torero ID Card should be directed to Campus Card Services: xxxxxxxxxx@xxxxxxxx.xxx or (000) 000-0000.

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Compensation for Consulting Services For each quarter (i.e., three-month period) that Executive provides consulting services to MediciNova pursuant to the option of MediciNova contained in Section 9 above, MediciNova shall pay Executive a sum equal to fifteen percent (15%) of Executive’s annual Base Compensation which shall be applicable at the time of Executive’s termination of employment with MediciNova (prorated for any period of less than a quarter). The parties expressly agree that when Executive is performing consulting services for MediciNova, Executive is acting as an independent contractor. Therefore, Executive shall be solely liable for Social Security and income taxes that result from Executive’s compensation as a consultant. In addition, Executive shall not be entitled to any other benefits including, without limitation, such group medical, life and disability insurance and other benefits as may be provided to employees and/or executives of MediciNova.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.
