Common use of Trademark License Clause in Contracts

Trademark License. In designing and implementing the Materials and subject to the other provisions contained herein, MP will be entitled to use the following trade names, trademarks, and service marks of AOL: the "America Online-Registered Trademark-" brand service, "AOL-TM-" service/software and AOL's triangle logo; and AOL and its affiliates will be entitled to use the trade names, trademarks and service marks of MP for which MP holds all rights necessary for use in connection with this Agreement (collectively, together with the AOL marks listed above, the "Marks"); provided that each Party: (i) does not create a unitary composite xxxx involving a Xxxx of the other Party without the prior written approval of such other Party; and (ii) displays symbols and notices clearly and sufficiently indicating the trademark status and ownership of the other Party's Marks in accordance with applicable trademark law and practice.

In designing and implementing the Materials and subject to the other provisions contained herein, MP will be entitled to use the following trade names, trademarks, and service marks of AOL: the "America Online-Registered Trademark-Online(R)" brand service, "AOL-TM-AOL(TM)" service/software and AOL's triangle logo, AOL.xxx, XxmpuServe and Decision Guide; and AOL and its affiliates will be entitled to use the trade names, trademarks trademarks, and service marks of MP (e.g., "AutoConnect(R)") for which MP holds all rights necessary for use in connection with this Agreement (collectively, together with the AOL marks listed above, the "Marks"); provided that each Party: (i) does not create a unitary composite xxxx mark involving a Xxxx of Mark xx the other Party without the prior written approval of such other Party; and (ii) displays symbols and notices clearly and sufficiently indicating the trademark status and ownership of the other Party's Marks in accordance with applicable trademark law and practice.

In designing and implementing the Materials and subject ----------------- to the other provisions contained herein, MP Purchase Pro will be entitled to use the following trade names, trademarks, and service marks of AOL: the "America Online-Registered Trademark-Online(TM)" brand service, "AOL-TM-AOL(TM)" service/software and AOL's triangle logo; and AOL and its affiliates will be entitled to use the trade names, trademarks trademarks, and service marks of MP Purchase Pro for which MP Purchase Pro holds all rights necessary for use in connection with this Agreement (collectively, together with the AOL marks listed above, the "Marks"); provided that each such Party: (i) does not create a unitary composite xxxx involving a Xxxx of the other Party without the prior written approval of such other Party; and (ii) displays symbols and notices clearly and sufficiently indicating the trademark status and ownership of the other Party's Marks in accordance with applicable trademark law and practice.practice and (iii) complies with Section 5 of this Exhibit G.

In designing and implementing the Materials and subject to the other provisions contained herein, MP ICP will be entitled to use the following trade names, trademarks, and service marks of AOL: the "America Online-Registered Trademark-" brand service, "AOL-TM-" service/software and AOL's triangle logo; and AOL and its affiliates will be entitled to use the trade names, trademarks trademarks, and service marks of MP ICP for which MP ICP holds all rights necessary for use in connection with this Agreement (collectively, together with the AOL marks listed above, the "Marks"); provided that each Party: (i) does not create a unitary composite xxxx involving a Xxxx of the other Party without the prior written approval of such other Party; and (ii) displays symbols and notices clearly and sufficiently indicating the trademark status and ownership of the other Party's Marks in accordance with applicable trademark law and practice.

In designing and implementing the Materials and subject to the other provisions contained herein, MP including without limitation Section 1 above, (a) B&N will be entitled to use the following trade names, trademarks, and service marks of AOL: AOL (collectively, the "AOL Marks"): the "America Online-Registered Trademark-Online(R)" brand service, "AOL-TM-AOL(TM)" service/software and AOL's triangle logo; and AOL and its affiliates Affiliates will be entitled to use the trade names"Xxxxxx & Xxxxx(R)" trademark (the "B&N Xxxx, trademarks and service marks of MP for which MP holds all rights necessary for use in connection with this Agreement (collectively, together with the AOL marks listed aboveMarks, the "Marks"); provided that each Party: (i) does not create a unitary composite xxxx involving a Xxxx of the other Party without the prior written approval of such other Party; and (ii) displays symbols and notices clearly and sufficiently indicating the trademark status and ownership of the other Party's Marks in accordance with applicable trademark law and practiceas instructed by the other Party.

In designing and implementing the Materials any promotional materials and subject to the other provisions contained herein, MP Netcentives will be entitled to use the following trade names, trademarks, and service marks of AOL: the "America Online-Registered Trademark-Online(R)" brand service, "AOL-TM-AOL(TM)" service/software and AOL's triangle logo; and "ICQ(TM)", and AOL and its affiliates will be entitled to use the trade names, trademarks trademarks, and service marks of MP Netcentives for which MP Netcentives holds all rights necessary for use in connection with this Agreement (collectively, together with the AOL marks listed above, the "Marks"); provided that each Party: (i) does not create a unitary composite xxxx involving a Xxxx of the other Party without the prior written approval of such other Party; and (ii) displays symbols and notices clearly and sufficiently indicating the trademark status and ownership of the other Party's Marks in accordance with applicable trademark law and practice.

In designing and implementing the Materials and subject ----------------- to the other provisions contained herein, MP Onvia will be entitled to use the following trade names, trademarks, and service marks of AOL: the "America Online-Registered Trademark-Online(R)" brand service, "AOL-TM-AOL(TM)" service/software and AOL's triangle logo; and AOL and its affiliates will be entitled to use the trade names, trademarks trademarks, and service marks of MP Onvia for which MP Onvia holds all rights necessary for use in connection with this Agreement (collectively, together with the AOL marks listed above, the "Marks"); provided that each Party: (i) does not create a unitary composite xxxx involving a Xxxx of the other Party without the prior written approval of such other Party; and (ii) displays symbols and notices clearly and sufficiently indicating the trademark status and ownership of the other Party's Marks in accordance with applicable trademark law and practice.

In designing and implementing the Promotional Materials ----------------- and subject to the other provisions contained herein, MP and its Affiliates will be entitled to use the following trade names, trademarks, and service marks of AOL: the "America Online-Registered Trademark-Online(R)" brand service, "AOL-TM-AOL(TM)" service/software and AOL's triangle logo, for which AOL holds all rights necessary for use in connection with this Agreement; and AOL and its affiliates Affiliates will be entitled to use the trade names, trademarks and service marks of MP for which MP holds all rights necessary Xxxxxx.xxx trademark for use in connection with this Agreement (collectively, together with the AOL marks listed above, the "Marks"); provided that each Party: (i) does not create a unitary composite xxxx involving a Xxxx of the other Party without the prior written approval of such other Party; and (ii) displays symbols and notices clearly and sufficiently indicating the trademark status and ownership of the other Party's Marks in accordance with applicable trademark law and practice; and (iii) complies with the then-current usage guidelines of the other Party.
