Trademark Agreements. The Trademark Security Agreement duly executed and delivered by Ridgeview.

Trademark Agreements. At or prior to the Closing, the Seller shall enter into a Trademark Assignment Agreement, substantially in the form of Exhibit A hereto (each, a "Trademark Agreement"), with each of the Companies, providing for (a) the transfer to the Seller or its Affiliates of any and all of such Company's rights in and to those names, marks, logos, designs and other intellectual property associated with the Seller and its Affiliates other than the Companies (in each case, the "Seller's Assigned Trademarks"), and (b) the transfer to such Company of any and all of the Seller's rights in and to those names, marks, logos, designs and other intellectual property associated with such Company (in each case, the "Companies' Assigned Trademarks").
