Common use of Trade Secret Clause in Contracts

Trade Secret. The term "trade secret" means any information or compilation of information possessed by the Company that derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by other persons who can obtain economic value from its disclosure or use. For purposes of this Agreement, the term "trade secret" includes both information disclosed to Consultant by the Company and information developed by Consultant in the course of his employment.
