Trade Regulation Sample Clauses

Trade Regulation. Target has never (a) terminated its relationship with, (b) been terminated by or (c) refused to provide services to any customer which had theretofore paid or had been obligated to pay Target in excess of $5,000 over any consecutive twelve month period. All of the prices charged by Target in connection with the marketing or sale of any of their respective services have been in compliance with all applicable laws and regulations, except for such noncompliance that would not have a Material Adverse Effect on Target. No claims have been asserted or, to the knowledge of Target, threatened against Target with respect to unfair competition, false advertising, or any other violation of any laws or regulations relating to anti-competitive practices or unfair trade practices of any kind, and, to the knowledge of Target, no specific situation, set of facts, or occurrence provides any basis for any such claim, except for such claims that would not have a Material Adverse Effect on Target or its assets.

Trade Regulation. Wood has not terminated its relationship ---------------- with or refused to ship any of its products to any dealer, distributor, third party marketing entity or customer which had theretofore paid or been obligated to pay Wood in excess of $25,000 over any consecutive twelve (12) month period. All of the prices charged by Wood in connection with the marketing or sale of any of its products or services have been in compliance with all applicable laws and regulations. No claims have been asserted or, to the knowledge of Wood, threatened against Wood with respect to the wrongful termination of any dealer, distributor or any other marketing entity, discriminatory pricing, price fixing, unfair competition, false advertising, or any other violation of any laws or regulations relating to anti-competitive practices or unfair trade practices of any kind.

Trade Regulation iPrint has not terminated its relationship ---------------- with or refused to ship any of its products to any dealer, distributor, third party marketing entity or customer which had theretofore paid or been obligated to pay iPrint in excess of $25,000 over any consecutive twelve (12) month period. All of the prices charged by iPrint in connection with the marketing or sale of any of its products or services have been in compliance with all applicable laws and regulations. No claims have been asserted or, to the knowledge of iPrint, threatened against iPrint with respect to the wrongful termination of any dealer, distributor or any other marketing entity, discriminatory pricing, price fixing, unfair competition, false advertising, or any other violation of any laws or regulations relating to anti-competitive practices or unfair trade practices of any kind.

No claims have been communicated or threatened in writing against MegaSys with respect to wrongful termination of any dealer, distributor or any other marketing entity, discriminatory pricing, price fixing, unfair competition, false advertising, or any other violation of any laws or regulations relating to anti-competitive practices or unfair trade practices of any kind, and to the knowledge of MegaSys and the MegaSys Shareholders, no specific situation, set of facts, or occurrence provides any basis for any such claim against MegaSys.

Trade Regulation. Except as set forth on Schedule 3.34, (i) all of the prices charged by the Company in connection with the marketing, sale or distribution of any products or services have been in compliance with all Applicable Laws and regulations, and (ii) no claims have been communicated or, to the Knowledge of the Company or the Shareholders, threatened in writing against the Company with respect to wrongful termination of any dealer, distributor or any other marketing entity, discriminatory pricing, price fixing, unfair competition, false advertising, or any other violation of any Applicable Laws relating to anti-competitive practices or unfair trade practices of any kind, and to the Knowledge of the Company or the Shareholders, no specific situation, set of facts, or occurrence provides any basis for any such claim against the Company.

No claims have been communicated or threatened in writing against Sunbelt with respect to wrongful termination of any dealer, distributor or any other marketing entity, discriminatory pricing, price fixing, unfair competition, false advertising, or any other violation of any laws or regulations relating to anti-competitive practices or unfair trade practices of any kind and to the Knowledge of the Sunbelt Shareholders, no specific situation, set of facts, or occurrence provides any basis for any such claim against Sunbelt. against Sunbelt.

No claims have been communicated or, to the Sellers' knowledge, threatened against the Company with respect to wrongful termination of any dealer, distributor or any other marketing entity, discriminatory pricing, price fixing, unfair competition, false advertising, or any other violation of any laws or regulations relating to anti-competitive practices or unfair trade practices of any kind, and, to the Sellers' knowledge, there are no specific facts likely to provide any basis for any such claim.

All of the prices charged by CompCore in connection with the marketing or sale of any of their products or services have been in compliance with all applicable laws and regulations. No claims have been asserted or, to CompCore's knowledge, threatened against CompCore with respect to the wrongful termination of any dealer, distributor or any other marketing entity, discriminatory pricing, price fixing, unfair competition, false advertising, or any other material violation of any laws or regulations relating to anti-competitive practices or unfair trade practices of any kind, and, to CompCore's knowledge, no specific situation, set of facts, or occurrence provides any basis for any such claim.
