Common use of Trade Name Clause in Contracts

Trade Name. In return for the Financial Institution agreeing to deal with Instruments made payable to, or endorsed in favour of, the Trade Name as though such Instruments were made payable to, or endorsed in favour of, the Depositor in the Depositor’s name, the Depositor agrees that the Depositor will be liable and responsible to the Financial Institution for such Instruments as though the Instruments were made payable to or endorsed in favour of the Depositor in the Depositor’s name. The Depositor hereby agrees to indemnify and save the Financial Institution harmless for all liability, costs, damages, and expenses incurred by the Financial Institution by reason of the Financial Institution dealing with Instruments made payable to, or endorsed in favour of, the Trade Name. This indemnity will enure to the benefit of the Financial Institution and will be binding upon the Depositor and the Depositor’s heirs, executors, successors and assigns.
