Total Percentage. With respect to each Lender without duplication, the sum of (a) the Tranche B Term Loan held by such Lender plus (b) the Revolving Credit Commitment of such Lender (or, if such Revolving Credit Commitment has been terminated, the Revolving Credit Loans, Letter of Credit Participations in Unpaid Reimbursement Obligations, and participating interests in the risk relating to outstanding Letters of Credit held by such Lender) plus (c) to the extent not otherwise included in the foregoing, such Lender’s interest in any new Tranche structured as a term tranche pursuant to §15.1 as a percentage of the sum of (x) the outstanding principal amount of the Tranche B Term Loan plus (y) the greater of (i) the Total Revolving Credit Commitment and (ii) the outstanding principal amount of the Revolving Credit Loans, Unpaid Reimbursement Obligations and the Maximum Drawing Amount of Letters of Credit plus (z) the outstanding principal amount of any new Tranche structured as a term tranche pursuant to §15.1.

Total Percentage. With respect to each Lender, as of any date of determination, the percentage equivalent of a fraction, the numerator of which is the amount of such Lender’s Commitment (or, if the Commitments have been terminated, the sum of the outstanding principal amount of Revolving Credit Advances held by such Lender, such Lender’s Commitment Percentage of the Unpaid Reimbursement Obligations, and such Lender’s Commitment Percentage of the Maximum Draw Amount of Letters of Credit), and the denominator of which is the Total Commitments or, if the Commitments have been terminated, the sum of the outstanding principal amount of the Revolving Credit Advances, the Unpaid Reimbursement Obligations, and the Maximum Draw Amount of Letters of Credit.   • Applicable Percentage Except as provided otherwise in the next sentence, the term "Applicable Percentage" shall mean: (i) 0% during the one-year period commencing on the Closing Date (ii) 20% during the one-year period commencing on the first anniversary of the Closing Date; (iii) 40% during the one-year period commencing on the second anniversary of the Closing Date; (iv) 60% during the one-year period commencing on the third anniversary of the Closing Date; (v) 80% during the one-year period commencing on the fourth anniversary of the Closing Date; and (vi) 100% on and after the fifth anniversary of the Closing Date.   • Adjustment of Minimum Quarterly Distribution and Target Distribution Levels (a) The Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution, Third Target Distribution, Common Unit Arrearages and Cumulative Common Unit Arrearages shall be proportionately adjusted in the event of any distribution, combination or subdivision (whether effected by a distribution payable in Units or otherwise) of Units or other Partnership Securities in accordance with Section 5.10. In the event of a distribution of Available Cash that is deemed to be from Capital Surplus, the then applicable Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution and Third Target Distribution, shall be adjusted proportionately downward to equal the product obtained by multiplying the otherwise applicable Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution and Third Target Distribution, as the case may be, by a fraction of which the numerator is the Unrecovered Capital of the Common Units immediately after giving effect to such distribution and of which the denominator is the Unrecovered Capital of the Common Units immediately prior to giving effect to such distribution.

  • Reallocation of Applicable Percentages to Reduce Fronting Exposure During any period in which there is a Defaulting Lender, for purposes of computing the amount of the obligation of each non-Defaulting Lender to acquire, refinance or fund participations in Letters of Credit or Swing Line Loans pursuant to Sections 2.03 and 2.04, the “Applicable Percentage” of each non-Defaulting Lender shall be computed without giving effect to the Commitment of that Defaulting Lender; provided, that, (i) each such reallocation shall be given effect only if, at the date the applicable Lender becomes a Defaulting Lender, no Default or Event of Default exists; and (ii) the aggregate obligation of each non-Defaulting Lender to acquire, refinance or fund participations in Letters of Credit and Swing Line Loans shall not exceed the positive difference, if any, of (1) the Commitment of that non-Defaulting Lender minus (2) the aggregate Outstanding Amount of the Committed Loans of that Lender.
