To Adopter. Effective upon adoption by the Promoters of the Final Specification and receipt by the Secretary of a fully executed original of this Agreement during the Adop- tion Period, the Promoters and their Affiliates hereby agree that they will grant to Adopting Party and its Affiliates, (collectively “Licensee”) a nonexclusive, worldwide license under their Necessary Claims solely to make, have made, use, import offer to sell, sell and other- wise distribute and dispose of Compliant Portions; provided that such license need not extend to any part or function of a product in which a Compliant Portion is incorporated that is not itself part of the Compliant Portion. Such license shall be granted on a royalty-‌ free basis and under otherwise reasonable and non-discriminatory terms, provided that such license grant may be conditioned upon Licensee’s grant of a reciprocal license binding Licensee.

To Adopter. Effective upon Intel’s execution of an original of this Agreement already executed by Adopter during the Adoption Period, Intel, on behalf of itself and the Contributors, hereby agrees to grant to Adopter a non-exclusive, world-wide license under Necessary Claims of a patent or patent application reading on any of those Contributions, respectively, to make, have made, use, import, sell, offer to sell, and otherwise distribute and dispose of Compliant Portions; provided that such license need not extend to any part or function of a product in which a Compliant Portion is incorporated that is not itself part of the Compliant Portion. Such license shall be granted on a royalty-free basis and under otherwise reasonable and non-discriminatory terms, provided that such license grant will be conditioned upon Adopter’s grant of a reciprocal license to Intel and the Contributors.

To Adopter. Effective upon adoption by the Promoters of the Final Specification, each Promoter hereby agrees that it will grant to each of the Adopters and their Affiliates who agree to be bound to this Agreement (also collectively “Licensee”) a nonexclusive, non-transferable, non- sublicenseable, worldwide, perpetual, reciprocal license under its Necessary Claims solely to make, have made, use, import, and directly and indirectly, offer to sell, sell and otherwise distribute and dispose of Compliant Portions (whether hardware, software or combinations thereof); provided that such license shall not extend to any part or function of a product the inclusion or operation of which is not a Compliant Portion. Such license shall be granted on reasonable and non-discriminatory terms, provided that such license grant may be conditioned upon Licensee’s grant of a reciprocal license.‌
To Adopter. Effective upon adoption by the Members of the Specification 2.0 and receipt by the Program Administrator of a fully executed original of this Agreement, the Members and their Affiliates hereby agree that they will, upon request, grant to Adopting Party and its Affiliates, (collectively “Licensee” for purposes of this subsection (a)) a nonexclusive, worldwide license under their Necessary Claims solely to make, have made, use, import, offer to sell, sell and otherwise distribute and dispose of Compliant Portions; provided that such license does not extend to any part or function of a product the inclusion or operation of which is not a Compliant Portion. Such license shall be granted on a royalty- free basis and under otherwise reasonable and non-discriminatory terms, provided that such license shall be conditioned upon Licensee’s grant of a recipro- cal royalty- free license binding Licensee and its Affiliates as provided in Section 2.1(b). Such license may be conditioned upon the Licensee not distributing its Compliant Por- tions under a license that grants a third party the right to modify and redistribute such Compliant Portions without first executing an Adopters Agreement, or otherwise obtain- ing any necessary license from the Member, for such modification and redistribution.

  • Action by Written Consent or Telephone Conference Any action permitted or required by the Act, the Certificate or this Agreement to be taken at a meeting of the Members may be taken without a meeting if a consent in writing, setting forth the action to be taken, is signed by the Majority Members. Such consent shall have the same force and effect as a unanimous vote at a meeting and may be stated as such in any document or instrument filed with the Secretary of State of Delaware, and the execution of such consent shall constitute attendance or presence in person at a meeting of the Members. Subject to the requirements of the Act, the Certificate or this Agreement for notice of meetings, unless otherwise restricted by the Certificate, the Members may participate in and hold a meeting by means of a telephone conference or similar communications equipment by means of which all persons participating in the meeting can hear each other, and participation in such meeting shall constitute attendance and presence in person at such meeting.

  • Other Provisions Applicable to Adjustments Under this Section 4. The following provisions shall be applicable to the making of adjustments in the Warrant Price hereinbefore provided in Section 4:

  • Special Provisions Applicable to LIBOR Rate (i) The LIBOR Rate may be adjusted by Agent with respect to any Lender on a prospective basis to take into account any additional or increased costs to such Lender of maintaining or obtaining any eurodollar deposits or increased costs due to changes in applicable law occurring subsequent to the commencement of the then applicable Interest Period, including changes in tax laws (except changes of general applicability in corporate income tax laws) and changes in the reserve requirements imposed by the Board of Governors of the Federal Reserve System (or any successor), excluding the Reserve Percentage, which additional or increased costs would increase the cost of funding loans bearing interest at the LIBOR Rate. In any such event, the affected Lender shall give Administrative Borrower and Agent notice of such a determination and adjustment and Agent promptly shall transmit the notice to each other Lender and, upon its receipt of the notice from the affected Lender, Administrative Borrower may, by notice to such affected Lender (y) require such Lender to furnish to Administrative Borrower a statement setting forth the basis for adjusting such LIBOR Rate and the method for determining the amount of such adjustment, or (z) repay the LIBOR Rate Loans with respect to which such adjustment is made (together with any amounts due under clause (b)(ii) above).

  • Special Aggregation Rule Applicable to Relationship Managers For purposes of determining the aggregate balance or value of accounts held by a person to determine whether an account is a High Value Account, a Reporting Financial Institution shall also be required, in the case of any accounts that a relationship manager knows or has reason to know are directly or indirectly owned, controlled, or established (other than in a fiduciary capacity) by the same person, to aggregate all such accounts.

  • Communications Relating to Portfolio Securities Subject to the provisions of Section 2.3, the Custodian shall transmit promptly to the Fund for each Portfolio all written information (including, without limitation, pendency of calls and maturities of domestic securities and expirations of rights in connection therewith and notices of exercise of call and put options written by the Fund on behalf of the Portfolio and the maturity of futures contracts purchased or sold by the Portfolio) received by the Custodian from issuers of the securities being held for the Portfolio. With respect to tender or exchange offers, the Custodian shall transmit promptly to the Portfolio all written information received by the Custodian from issuers of the securities whose tender or exchange is sought and from the party (or his agents) making the tender or exchange offer. If the Portfolio desires to take action with respect to any tender offer, exchange offer or any other similar transaction, the Portfolio shall notify the Custodian at least three business days prior to the date on which the Custodian is to take such action.

  • Reports to Adviser The Trust shall furnish or otherwise make available to the Adviser such copies of each Fund 's Prospectus, Statement of Additional Information, financial statements, proxy statements, reports and other information relating to its business and affairs as the Adviser may, at any time or from time to time, reasonably require in order to discharge its obligations under this Agreement.
