TNF Canada. TNF Canada has the corporate power and authority to purchase ---------- Inventory from Borrower and to grant security interests in its assets to secure the unpaid obligations owed to Borrower. The Canadian Documents executed and delivered by TNF Canada have been duly authorized, executed and delivered by TNF Canada, and neither the execution and delivery of such Canadian Documents, nor TNF Canada's performance thereof, contravenes or violates its governing documents, any applicable law or any agreement or order to which TNF Canada is a party.
