Title to Acquiree Shares Sample Clauses
Title to Acquiree Shares. Each Seller has good and valid title to the Sale Shares, reflected on Exhibit "A" hereto, being sold free and clear of all liens, claims, encumbrances, security interests, options, charges and restrictions of any kind. Upon delivery to Buyer at the Closing of certificates representing the Sale Shares, duly endorsed in blank or accompanied by stock powers duly endorsed in blank in proper form for transfer, good and valid title to the Sales Shares will pass to Buyer, free and clear of all liens, claims, encumbrances, security interests, options, charges and restrictions of any kind. The Sale Shares are not subject to any voting trust agreement or other contract, agreement, arrangement, commitment or understanding restricting or otherwise relating to voting, dividend rights or the disposition of the Sales Shares.
