Title Powers and Responsibilities. During the term of this Agreement, Executive shall serve as Chief Financial Officer of the Company and have such powers and responsibilities normally and customarily associated with a chief financial officer in a company of similar size and operating in a similar industry, including such other functions and duties as may be assigned by the Chairman and Chief Executive Officer of the Company and the Board of Directors of the Company. Executive shall undertake to perform all his responsibilities and exercise his powers on a full-time basis and in good faith and shall not engage in any business activity that interferes with the performance of his duties hereunder. Executive shall travel as necessary in connection with the performance of his duties hereunder, however, the Executive shall perform his duties and responsibilities primarily in the Cleveland, Ohio metropolitan area. Executive shall report to the Chairman and Chief Executive Officer of the Company and the Board of Directors of the Company.

Title Powers and Responsibilities. During the term of this Agreement, Executive shall serve as Chief Executive Officer of the Company and have such duties, responsibilities, powers and authority normally and customarily associated with a chief executive officer, subject to the power and authority of the Board of Directors of the Company (the "Board of Directors"). Executive shall not engage in any business activity that interferes with the performance of his duties hereunder and shall not, without the prior written consent of the Board of Directors, perform other services for compensation, except as set forth on Schedule 1 attached hereto. Executive shall travel as necessary in connection with the performance of his duties hereunder; provided, however, that the Executive shall perform his duties and responsibilities primarily in the Cleveland, Ohio metropolitan area. The Board of Directors shall elect Executive to the Board of Directors effective on or before the Effective Date. Subject only to prior termination under Section 4, the Nominating Committee of the Board of Directors will nominate Executive for election at the next meeting of stockholders of the Company for a full term extending until May 31, 2008, and the Board of Directors will recommend his election to the stockholders of the Company at such meeting of stockholders.

  • Title and Responsibilities During the Term of Employment, the Executive shall be employed as the Executive Vice President and Chief Legal Officer. In carrying out his duties under this Agreement, the Executive shall report directly to the President and/or Chief Executive Officer of the Company. During the Term of Employment, the Executive shall devote full time and attention to the business and affairs of the Company and shall use his best efforts, skills and abilities to promote the interests of the Company Group. Anything herein to the contrary notwithstanding, the Executive shall not be precluded from engaging in charitable and community affairs and managing his personal investments, to the extent such activities do not materially interfere with the Executive’s duties and obligations under this Agreement, it being expressly understood and agreed that, to the extent any such activities have been conducted by the Executive prior to the date of this Agreement and disclosed to the Board in writing prior to the date of this Agreement, the continued conduct of such activities (or, in lieu thereof, activities similar in nature and scope thereto) after the date of this Agreement shall be deemed not to interfere with the Executive’s duties and obligations to the Company under this Agreement. The Executive may serve as a member of the board of directors of other corporations, subject to the approval of a majority of the Board, which approval shall not be unreasonably withheld or delayed.

  • MANAGEMENT RIGHTS AND RESPONSIBILITIES The Employer through its designated management personnel or agents has the right and responsibility, except as expressly modified by this Agreement, to control, change, and supervise all operations and to direct and assign work to all working forces. Such rights and responsibilities shall include by way of illustration but shall not be limited to: the selection and hiring, training, discipline and discharge, classification, reclassification, layoff, promotion and demotion or transfer of employees; the establishment of work schedules; the allocation of all financial and other resources; the control and regulation of the use of all equipment and other property of the Employer. The Employer shall determine the methods, technological means and qualifications of personnel by and for which operations are to be carried out. The Employer shall take whatever action as may be necessary to carry out its rights in any emergency situation. Application of this Article shall not preclude the use of the grievance procedure as established in this Agreement.

  • Roles and Responsibilities 1. The Donor States shall make funds available in support of eligible programmes proposed by the Beneficiary State and agreed on by the Financial Mechanism Committee within the priority sectors listed in Article 3.1 of Protocol 38c and the programme areas listed in the Annex to Protocol 38c.
