Title and Duties. The Company hereby employs Executive as Chief Executive Officer of the Company. Executive’s duties, responsibilities and authority shall be consistent with Executive’s position and titles and shall include serving in a similar capacity with certain of the Company’s Subsidiaries (as hereinafter defined) and such other duties, responsibilities and authority as may be assigned to Executive by the Board of Directors of the Company (the “Board”). Executive shall report directly to the Board of Directors of the Company.
Title and Duties. On the terms and subject to the conditions hereinafter set forth, the Employee shall continue to render services as Senior Sales Manager for the Corporation, as follows: (a) The Employee's duties shall be consistent with the general duties of a person performing such services. (b) The Employee shall devote all of the time and attention reasonably necessary to carry out the duties of his position. The Employee's services to the Corporation shall be rendered by him to the best of his ability. During the Term, the Employee shall not (i) render employment or other business-related services to any person, firm or corporation other than the Corporation (or its Affiliated entities), either within or outside of business hours; (ii) have any ownership interest, direct or indirect, in any business that is competitive with the business of the Corporation, other than ownership of not more than one (1%) percent of the outstanding shares in the capital of a corporation, the shares of which are listed on a recognized stock exchange, and provided that such ownership by the Employee is a purely passive investment; or (iii) become a director, officer or agent of any other corporation, without the express written consent of the board of directors of the Corporation (the "BOARD OF DIRECTORS"), such consent not to be unreasonably withheld. (c) The Employee shall, at all times in the performance of his employment duties hereunder, perform all such duties in a manner conducive to the efficient management of the Corporation. (d) The Employee acknowledges that the effective performance of his duties requires the highest level of integrity and the Corporation's complete confidence in the Employee's relationship with other employees of the Corporation and with all persons dealt with in the course of the Employee's employment. The Employee shall diligently serve the Corporation during the continuance of the Employee's employment to promote the interests of the Corporation (and its Affiliates). The Corporation covenants and agrees to conduct itself with the highest degree of integrity and to consistently supply the Employee throughout the Term with all such support as may be reasonably required by him for the performance of his employment duties hereunder. Title and Duties. The Company will employ Executive, and Executive will be employed by the Company, as Chief Financial Officer (“CFO”), reporting to the CEO of the Company (“CEO”). Executive will have the responsibilities, duties and authority commensurate with said position.
Title and Duties. Effective as of Effective Date, the Company will employ Employee as its Chief Financial Officer, or such other title as may be assigned to Employee by the Company’s Chief Executive Officer or his or her designee from time to time, pursuant to the terms and conditions set forth in this Agreement. Employee shall not, without the prior written consent of the Company’s Board of Directors (the “Board”), accept other employment or engage in other business activities during Employee’s employment with the Company that may prevent Employee from fulfilling the duties or responsibilities as set forth in or contemplated by this Agreement. Employee may participate in civic, religious and charitable activities and personal investment activities to a reasonable extent, so long as such activities do not interfere with the performance of Employee’s duties and responsibilities hereunder.
Title and Duties. Subject to the terms and conditions of this Agreement, the Company will employ you, and you will be employed by the Company, on an “at-will” basis, as its Senior Vice President and Chief Financial Officer, or in such additional or different position or positions as the Board of Directors of the Company (the “Board”) may determine in its sole discretion, reporting to ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇, Chief Executive Officer. Executive is subject to all of UnitedHealth Group’s employment policies and procedures (except as specifically superseded by this Agreement).
Title and Duties. The Employee shall be employed as Executive Vice President of AMS. The Employee shall perform such services consistent with his position as might be assigned to him from time to time and are consistent with the bylaws of AMS.
Title and Duties. On the date on which the Employment Period commences, the Officer shall hold the position of President and Chief Executive Officer of the Holding Company and shall be a member of the Board with all of the powers and duties incident to such positions under law and under the by-laws of the Holding Company. During the Employment Period, the Officer shall: (a) devote his full business time and attention (other than during weekends, holidays, vacation periods and periods of illness or approved leaves of absence) to the business and affairs of the Holding Company and its subsidiaries and use his best efforts to advance the interests of the Holding Company and its subsidiaries, including reasonable periods of service as an officer and/or board member of trade associations, their related entities and charitable organizations; and (b) perform such reasonable additional duties, as may be assigned to him by or under the authority of the Board. The Officer shall also serve as an officer and director of Flushing Savings Bank, FSB (the “Bank”) pursuant to the Amended and Restated Employment Agreement between the Officer and the Bank dated as of the date hereof (“Bank Employment Agreement”). The Holding Company hereby acknowledges that the Officer’s service under this Agreement shall not be deemed to materially interfere with the Officer’s performance under the Bank Employment Agreement or otherwise result in a breach of the Bank Employment Agreement. The Officer shall have such authority as is necessary or appropriate to carry out his duties under this Agreement.
Title and Duties. The Company agrees to continue to employ Executive, and Executive agrees to accept such continuing employment with the Company, as Chief Executive Officer for the Employment Period, in accordance with the terms and conditions of this Agreement. During the Employment Period, Executive shall (a) have such responsibilities, duties and authorities as are customarily assigned to such position and shall render such services or act in such capacity for the Company and its affiliates as the Board of Directors of the Company (the “Board”) shall from time to time direct, and (b) shall report to the Board. Executive shall perform the duties and carry out the responsibilities assigned to him, to the best of his ability, in a trustworthy and businesslike manner for the purpose of advancing the business of the Company and its affiliates. Executive shall engage in travel as reasonably required in the performance of Executive’s duties. Executive acknowledges that Executive’s duties and responsibilities hereunder will require Executive’s full business time and effort and agrees that, during the Employment Period, Executive will not engage in any other business activity or have any business pursuits or interests which materially interfere or conflict with the performance of Executive’s duties hereunder; provided that Executive may, with the approval of the General Counsel and the Board, serve on the board of other corporations or charitable organizations and engage in charitable activities, community affairs, and teaching. Executive shall become a member of the Board as of November 3, 2009.
Title and Duties. During the Employment Period, Employee shall serve as Chief Financial Officer of the Company and PubCo, and shall have those powers and duties normally and customarily associated with his position in entities comparable to the Company and PubCo and such other powers and duties as may be reasonably prescribed by the Company or PubCo, subject to the power and authority of each of the Company or PubCo to modify such duties, responsibilities, functions and authority from time to time in its sole discretion.
